Senior Toggle Notes definition

Senior Toggle Notes shall have the meaning set forth in the preamble hereto.

Senior Toggle Notes means the 9.625%/10.375% Senior Toggle Notes due 2015 of the Issuer to be issued on the Issue Date.

Senior Toggle Notes means (a) the Senior Toggle Exchange Notes and (b) any senior PIK-option notes due not earlier than ten years from the date of issuance thereof, to be issued in connection with the refinancing of the Senior Interim Toggle Loans or the exchange of the Senior Toggle Term Loans.

Examples of Senior Toggle Notes in a sentence

• The transfer of Senior Toggle Notes may be registered and Senior Toggle Notes may be exchanged as provided in the Indenture.

• The Indenture, the Guarantees or the Senior Toggle Notes may be amended or supplemented as provided in the Indenture.

• The Senior Cash Pay Notes (including any Exchange Notes issued in exchange therefor) and the Senior Toggle Notes issued under the Indenture (including any Exchange Notes issued in exchange therefor) (collectively, referred to herein as the “Senior Notes”) are separate series of Senior Notes, but shall be treated as a single class of securities under the Indenture, unless otherwise specified in the Indenture.

• Also, the Issuer need not exchange or register the transfer of any Senior Toggle Notes for a period of 15 days before a selection of Senior Toggle Notes to be redeemed.

Senior Toggle Notes has the meaning set forth in the recitals hereto.

Senior Toggle Notes means (a) senior toggle notes due 2017, to be issued in connection with the refinancing of the Senior Interim Toggle Loans or the exchange of the Senior Toggle Term Loans under the Senior Refinancing Indenture, in an aggregate principal amount of up to $2,500,000,000 (less the amount of any Senior Interim Toggle Loans and Senior Toggle Term Loans that remain outstanding after the issuance of the Senior Toggle Notes), together with interest (including any PIK Interest), fees and all other amounts payable in connection therewith.

Senior Toggle Notes means the Senior Unsecured Floating Rate PIK Toggle Notes due 2014 issued by AmeriPath Intermediate Holdings, Inc.

Senior Toggle Notes means the Initial Senior Toggle Notes, any Additional Senior Toggle Notes and any Related PIK Notes issued in respect of any Senior Toggle Notes (and any increase in the principal amount of any of the foregoing) as a result of a PIK Payment. For purposes of this Indenture, all references to “principal amount” of the Senior Toggle Notes shall include any PIK Notes issued in respect thereof (and any increase in the principal amount thereof) as a result of a PIK Payment.

Senior Toggle Notes means the existing €845,000,000 aggregate principal amount of 6.625% / 7.375% Senior Secured Toggle Notes due 2023 and $770,000,000 aggregate principal amount of 7.125% / 7.875% Senior Secured Toggle Notes due 2023 issued by ARD Finance S.A. and any replacements or refinancings thereof, directly or indirectly.

Senior Toggle Notes means the Borrower’s 9.125%/9.875% Senior PIK-Election Notes due 2014.

Senior Toggle Notes means the Initial Senior Toggle Notes and any Additional Senior Toggle Notes.
