Selling Agent Agreement means that certain Selling Agent Agreement, dated as of the date specified in the Omnibus Instrument, by and among the Trust, Protective Life and the agents named therein relating to the issuance and sale of the Notes under the Trust’s InterNotes® Program, as the same may be amended, modified or supplemented.

"Substitute Limited Partner" means any Investor who has elected to convert from an Investor to a Limited Partner pursuant to Section 7.5 of this Agreement. "Successor General Partner" means any Person who is admitted as a Successor General Partner to the Fund under the provisions of Article VI after the date of this Agreement. "Tax Matters Partner" means the Administrative General Partner designated in Section 5.1 as the tax matters partner, as defined in Section 6231(a)(7) of the Code. "Termination Date of the Offering" means the date upon which the Offering will terminate, which, if not sooner terminated by the General Partners, will be one year from the date of the Prospectus.
