Sellers's Knowledge definition

Sellers's Knowledge means the actual (and not constructive or imputed) knowledge of the following individuals: Xxxx X. Xxxxx, Xxxxxxxx Xxxxx, Xxxx X. Xxxxxxxxx and Xxxxxxx Xxxxxxxxx.
Sellers's Knowledge or “Knowledge of the Seller(s)” means the actual knowledge of the Board of Rhino Biotech, Inc.
Sellers's Knowledge. best knowledge”, “knowledge” and “to know”: in the context of representation and warranties set forth in Article 9 will be construed to be Sellers’ and Key Individuals’ actual knowledge of, as of the date hereof, and that knowledge which, as of the date hereof, (i) with respect to Aksia and Susi: a Person sitting on the board of directors of a company could obtain by exercising due diligence and reasonable care according to applicable law (ii) with respect to Key Individuals: an executive officer could have known by exercising its powers with due diligence and reasonable care according to applicable law.

When used with respect to a Person other than a natural person, the term "Best Knowledge" shall include matters that are known to the directors and officers of the Person.

In no event is Seller obligated to cure any alleged breach. If Seller fails or elects not to cure such alleged breach after actual written notice and within such cure period, Buyer's sole and exclusive remedy shall be an action at law for damages, but in no event lost profits or punitive damages, which must be commenced, if at all, within the Limitation Period; provided, however, that if within the Limitation Period Buyer gives Seller written notice of such alleged breach and Seller commenced to cure and thereafter terminates such cure effort, Buyer shall have an additional sixty (60) days from the date that Seller notifies Buyer in writing that Seller has terminated its cure effort within which to commence such an action.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • to the knowledge or "knowledge" of a party (or similar phrases) means to the extent of matters which are actually known by such party and when used in respect of the Company or the Company Subsidiary, the term "to the knowledge" or "knowledge" shall mean the matters which are known or reasonably should be known by Guy Fietz, or Gordon Ellison after due inquiry.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.
