Seller’s Re-Certification definition

Seller’s Re-Certification means a Seller’s Re-Certification of Representations and Warranties which updates the Seller’s representations, warranties, and covenants contained herein, subject to any newly discovered facts or changes in circumstance which constitute material changes to the representations, warranties, and covenants.

  • Interim Certification As defined in Section 2.02.

  • Sellers’ Representative has the meaning set forth in the Preamble.

  • Citizenship Certification means a properly completed certificate in such form as may be specified by the General Partner by which an Assignee or a Limited Partner certifies that he (and if he is a nominee holding for the account of another Person, that to the best of his knowledge such other Person) is an Eligible Citizen.

  • Draft Closing Statement means a draft closing statement, prepared by Seller, as of the close of business of the third (3rd) business day preceding the Closing Date setting forth an estimated calculation of both the Purchase Price and the Estimated Payment Amount.

  • Seller’s Notice has the meaning set forth in Section 8.5(a).
