Seller Websites means all websites owned, operated or hosted by the Seller (including those websites operated using the domain names listed in Section 3.11(b) of the Seller Disclosure Schedule).

Examples of Seller Websites in a sentence

  • Until such transfer is complete, Buyer agrees to reimburse seller for all hosting fees paid by Seller to its host for the Seller Website(s) during this period, until such date that Buyer has entered into a new, ongoing host arrangement for the Seller Website(s) in Buyer's own name, such period not to exceed thirty (30) days without Seller's further approval.

  • Upon the Closing, Buyer shall begin making arrangements to transfer hosting of the Seller Website(s) to a host of Buyer's own choosing.

  • All of Seller’s rights in and to documents or other tangible materials embodying technology or Intellectual Property Rights owned by, licensed to or otherwise controlled by Seller, whether such properties are located on Seller’s business premises or on the business premises of Seller’s suppliers or customers, including, without limitation all Seller Proprietary Software (including both source and object codes) and related documentation for Seller Proprietary Software and the Seller Websites.

  • With respect to Seller Websites that collect user information on the Business through surveys, questionnaires or other user feedback tools, Seller shall promptly provide to Buyer any information collected with respect to the Business, which may be provided or performed, at Buyer’s cost and expense, via third party contractors engaged by Seller.

  • Seller has Made Available to Buyer true, correct, and complete copies of all Seller Privacy Policies currently published on the Seller Websites.

  • Seller agrees to maintain, at its sole cost and expense, effective domain registrations for all Seller Websites.

  • Schedule 4.16(a) contains an accurate and complete list and description (including a name, product description and version level) of all Third Party Software that is (i) licensed, offered or provided to customers of Seller as part of or in conjunction with the Seller Proprietary Software and Seller Websites, or (ii) material to the use of the Seller Proprietary Software and Seller Websites.
