Seller Share Plans definition

Seller Share Plans means (i) the Credit Suisse Group Master Share Plan as adopted on January 16, 2004, (ii) the Swiss Share Plan (Master Plan Document) as amended and restated with effect from and after January 1, 2003, (iii) the Swiss Share Plan (Option Supplement to the Master Document) as amended and restated with effect from and after January 1, 2002, (iv) the International Share Plan Master Plan Document as adopted on January 31, 2002, (v) the International Share Plan Option Supplement to the Master Plan Document as adopted on January 31, 2002, (vi) the Credit Suisse Group Swiss Share Plan (version «Final 8/2001»), (vii) the Credit Suisse Group Management Performance Plan – Switzerland, adopted by the Group Compensation Committee on January 25, 2001 and effective as of January 1, 2001, and (viii) all other share, option and similar award plans adopted by the Seller or its Affiliates from time to time prior to the Signing Date.

Related to Seller Share Plans

  • Company Share Plans mean (a) the Company’s Stock Related Award Incentive Plan of 1999, as amended; (b) the Company’s 2010 Stock Incentive Plan, as amended; and (c) the Company’s 2015 Stock Incentive Plan, as amended;

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • Purchaser Plans shall have the meaning set forth in Section 6.6(a)(v).

  • Approved Share Plan means any employee benefit plan which has been approved by the board of directors of the Company prior to or subsequent to the date hereof pursuant to which Ordinary Shares and standard options to purchase Ordinary Shares may be issued to any employee, officer, director or advisers for services provided to the Company in their capacity as such.

  • Company Shares means the common shares in the capital of the Company;

  • Company Shareholders means the registered or beneficial holders of the Company Shares, as the context requires;

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Company Equity Plans means the Company’s 1994 Stock Option Plan, 1998 Stock Option Plan, 2000 Stock Option Plan, 2003 Equity Incentive Plan and 2005 Equity Incentive Plan, each as may be amended from time to time, and any stock option agreements, award notices, stock purchase agreements or other agreements or instruments executed and delivered pursuant thereto.

  • Employee Share Scheme means a scheme established by a company, whether by means of a trust or otherwise, for the purpose of offering 10 participation therein solely to employees and officers of the company or a subsidiary of the company, either—

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Company Stock Option Plans has the meaning ascribed to it in Section 2.6(c).

  • SpinCo Shares means the shares of common stock, par value $0.01 per share, of SpinCo.

  • Purchaser Benefit Plans has the meaning set forth in Section 8.7(d).

  • Company Option Plans means the following stock option plans of the Company: (a) the Amended and Restated 1989 Stock Plan, (b) the Amended and Restated 1996 Stock Incentive Plan and (c) the 2002 Nonqualified Stock Incentive Plan.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Purchased Stock means a right to purchase Common Stock granted pursuant to Article IV of the Plan.

  • Bidders from a country which shares a land border with India for the purpose of this Order means:

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Company Stockholders means the holders of shares of Company Capital Stock.

  • Company SEC Documents shall have the meaning set forth in Section 4.7(a).

  • Target Shareholders means the holders of Target Shares;

  • Market Seller Offer Cap means a maximum offer price applicable to certain Market Sellers under certain conditions, as determined in accordance with Tariff, Attachment DD. section 6 and Tariff, Attachment M-Appendix, section II.E.

  • Target Shares means the common shares in the capital of Target;

  • Buyer Benefit Plans has the meaning set forth in Section 6.10(f).
