Seller Responsible Party definition

Seller Responsible Party means the Seller who is responsible for the indemnification or other payment obligations attributable to certain direct or indirect equity interests in the Company in accordance with this Agreement. As shown on the Allocation Schedule, after giving effect to the redemption of the outstanding Class P Common Units (other than those owned by Horn and Cxxx) prior to the Closing, (i) the E Sellers are responsible on a joint and several basis for the aggregate percentage interests in the Company held by the Blocker Companies, (ii) Cxxx and Horn are responsible for the percentage interest in the Company held by Original CRS, (iii) Cxxx and Bon Accord are jointly and severally responsible for the percentage interest in the Company held by Pxxxxxxx, (iv) Horn is responsible for his own percentage interest in the Company and (v) Cxxx is responsible for his own percentage interest in the Company.
