Seller Product definition

Seller Product means any product or service that is currently being or at any time has been designed, developed, manufactured, marketed, distributed, provided, licensed, sold, or made available at any time by the Seller in connection with the operation of the Business.

Seller Product means any product manufactured, sold or distributed under any of Seller’s Marks by or on behalf of Seller or any of its Affiliates.

Seller Product. “Seller Product” means each product designed, developed, manufactured, marketed, sold, delivered, made available, maintained or supported by the Seller in the conduct of the PPSA Business.

• The Seller has never received any notice or other communication (in writing or otherwise) relating to any actual, alleged, or suspected infringement, misappropriation, or violation by the Seller, any of their employees or agents, or any Seller Product of any Intellectual Property Rights of another Person, including any letter or other communication suggesting or offering that the Seller obtain a license to any Intellectual Property Right of another Person.

• Buyer and Seller are Parties to that certain Demand Response Resource Purchase Agreement dated as of March 27, 2020 (as amended, supplemented, or otherwise modified from time to time, the “Agreement”), under which, among other things, Seller will sell to Buyer, and Buyer will purchase from Seller, Product upon commencement of the Delivery Period; and B.

• The Seller has taken all reasonable steps to maintain the confidentiality of and otherwise protect and enforce their rights in all proprietary information pertaining to the Seller or any Seller Product.

• The sale of any and all goods manufactured by Seller (“Seller Products”) are conditioned upon, and subject to Seller’s Standard Warranty for such Seller Product in effect on the date of sale (incorporated by reference as if fully rewritten herein and a copy of which is attached to the Quotation or is available at Seller’s website or upon request of Buyer).

• No Seller Product, and no method or process used or incorporated in any Seller Product, infringes, violates, or makes unlawful use of any Intellectual Property Right of, or contains any Intellectual Property misappropriated from, any other Person.

More Definitions of Seller Product

Seller Product means each proprietary product or service currently manufactured, marketed, or sold by or under license from Seller, or that are currently under development by or under license from Seller, in all cases solely in the Aesthetics Business.

Seller Product means any good or service, or any component thereof, which is made, supplied, sold, developed or otherwise produced by or on behalf of any Retained Business, including any such good, service or component which is supplied to the Business or any other Person by any Retained Business.

Seller Product means any product, which as of the Effective Date, meets all of the following: (i) the design of the product is Bona Fide Owned and Controlled by Seller, (ii) the product is solely marked with, and marketed and sold solely by or on behalf of Seller under, a trademark, service mxxx or brand name owned by Seller and (iii) in the absence of a license or other authorization, the product would infringe one or more of the Assigned Patents.

Seller Product means each of the products marketed, sold, licensed or otherwise distributed by Seller exclusively in connection with the Business.

Seller Product has the meaning set forth in Section 4.4(d).

Seller Product or “Seller Products” means any and all products of Seller that use or incorporate any of the Transferred Intellectual Property Rights or any JNJ Transferred Intellectual Property Rights, including any documentation that accompanies such product when delivered to Seller’s customers such as instructions, labeling and training materials.

Seller Product means any software (including edge applications) that Seller Promotes or Transacts to Buyers through the Marketplace, any related technical support Seller provides and content description information and any related Marketing Material.
