Seller Corporations definition

Seller Corporations means Pfizer, the Stock Selling Corporations and the Asset Selling Corporations.
Seller Corporations means Seller and its subsidiaries.
Seller Corporations shall have the meaning set forth in the heading of this Agreement.

  • Nothing in this Agreement, express or implied, is intended to confer upon any Person other than Purchaser, Seller Corporations, or their successors or permitted assigns, any rights or remedies under or by reason of this Agreement.

  • Neither the Seller Corporations nor any Representative of the Seller Corporations is engaged, directly or indirectly, in any discussions or negotiations with any other Person relating to any Acquisition Proposal.

  • Except as expressly provided herein, nothing contained herein, expressed or implied, is intended to confer upon any Employee of Seller Corporations or the Conveyed Subsidiaries or their Subsidiaries any benefits under any benefit plans, programs, policies or other arrangements, including, but not limited to, severance benefits or right to employment or continued employment with Purchaser or any Affiliate of Purchaser for any period by reason of this Agreement.

  • The Seller Corporations and Purchaser, as the case may be, will on demand reimburse the other for its share of any such Taxes paid by the other in accordance with the foregoing provisions of this Section.

  • Cost per test in case of effective kits is estimated Rs.23/- for MERCK (NO3) having CIF 90.00 and Rs.21/- for LTEK-NCL (NO3)-Improved, having CIF 84.00.

  • No broker, finder or investment banker is entitled to any brokerage, finder’s or other fee or commission in connection with the Transactions based upon arrangements made by or on behalf of any of the Seller Corporations or any of their Representatives.

Seller Corporations means (i) RMC Holdings, Inc., a New Jersey corporation, (ii) RMC Logistics Holdings, Inc., a Pennsylvania corporation, (iii) RMC SE Holdings, Inc., a North Carolina corporation, (iv) RMC of NE Holdings, Inc., a Rhode Island corporation, (v) RMC of MD Holdings, Inc., a Maryland corporation, and (vi) RMC of NY Holdings, Inc., a New York corporation (subject, in each case, to such names being available, with the understanding that, if a different name must be used, such name must be reasonably acceptable to Buyer).
Seller Corporations means, collectively, the Stock Selling Corporations and the Asset Selling Corporations, and each of the Seller Corporations shall be referred to individually as a “Seller Corporation”.
Seller Corporations means collectively 24 Pfizer, the Asset Selling Corporations and the Stock Selling Corporations.
Seller Corporations means Rotocast and each of the Rotocast Subsidiaries or any of them as the context requires. As used herein, the term "Sellers" shall mean GSC, the Company, Xxxxxxxx, Cornwall and Schidel or any of them as the context requires. As used herein, the term "Constituent Corporations" shall mean and include the Buyer, Rotocast and the Rotocast Subsidiaries.

  • The Purchaser or Corporation means the APMSIDC, the purchasing agency

  • Acquired Corporations means the Company and each of its Subsidiaries, collectively.

  • Amalgamating Corporations means both of them;

  • Affiliated group of corporations means an affiliated group as defined in section 1504 of the Internal Revenue Code, except that, if such a group includes at least one incumbent local exchange carrier that is primarily engaged in the business of providing local exchange telephone service in this state, the affiliated group shall not include any incumbent local exchange carrier that would otherwise be included in the group.

  • Nonprofit corporation means a nonstock corporation organized under ch. 181 that is a nonprofit corporation, as defined in s. 181.0103 (17).

  • Surviving Business Entity has the meaning assigned to such term in Section 14.2(b).

  • Mutual housing corporation means a corporation not-for-profit,

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Corporation means a corporation, association, company, joint-stock company or business trust.

A family farm corporation does not cease to qualify under this division where, by reason of any devise, bequest, or the operation of the laws of descent or distribution, the ownership of shares of voting stock is transferred to another person, as long as that person is within the degree of kinship stipulated in this division.

  • Constituent Corporations has the meaning set forth in the second recital of this Agreement.

  • Merger Sub has the meaning set forth in the Preamble.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Merger Subsidiary shall have the meaning set forth in the preamble to this Agreement.

  • PBI means Pitney Xxxxx Inc. “Pitney Xxxxx” means PBI and its subsidiaries. “We”, “our” or “us” refers to the Pitney Xxxxx companies with whom you’ve entered into the Order. “You” or “your” refers to the entity identified on the Order. “Meter” means any postage meter supplied by PBI under the Order, including (i) in the case of a Connect+®, a SendPro® P series or a SendPro C series mailing system, the postal security device that accounts for and enables postage to be purchased and printed (“PSD”), and (ii) in the case of all other mailing systems, the PSD, the user interface or keyboard and display and the print engine. “Meter Services” means access to the PSD to download, account for, and enable printing of postage within a PBI Postage Evidencing System as defined in Title 39, Part 501 of the Code of Federal Regulations (“CFR”); USPS mandated processes associated with the PSD, including registration, usage reporting and withdrawal; repair or replacement of the PSD as described in Section 26; and the Soft- Guard Program outlined in Section 28. “Equipment” means the equipment listed on the Order, excluding any Meter or standalone software. “Lease” means Lease terms and conditions set out in Sections 10 through 17. The provisions included in these Terms consist of: (i) General Terms; (ii) Lease Terms; (iii) a Service Level Agreement; (iv) Equipment Rental and Meter Services Terms; (v) an Acknowledgement of Deposit required by the United States Postal Service in any transaction involving a Meter; (vi) Purchase Power® Terms for a limited purpose credit line that may be available to you; and (vii) provisions relating to specific products.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Seller Parent has the meaning set forth in the Preamble.
