Seller Consultant means, Criterium Engineers, a construction consultant chosen by Seller, who has previous experience with construction similar to the construction planned for the Properties.
Seller Consultant means, Criterium Engineers, a construction consultant chosen by Seller, who has previous experience with construction similar to the construction planned for the Properties. “Seller's Knowledge” shall mean, for each Seller, the actual knowledge of one or more of ▇▇▇▇▇ ▇▇▇▇▇, ▇▇▇▇ ▇▇▇▇▇, and ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇, without any duty of inquiry. “St. Mary's Square Property” shall mean that certain land, as more particularly described on Schedule A-7 attached hereto, together with the buildings and other Improvements thereon. “Survey” shall mean, for each Property, that certain ALTA/ACSM Land Title Survey described on Schedule B. “Tenants” shall mean the tenants under the Leases. “Title Affidavit” shall have the meaning assigned thereto in subparagraph 5.2(viii). “Title Company” shall mean Chicago Title Insurance Company, ▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇, Suite 800, Charlotte, NC, Attention: ▇▇▇▇▇ ▇▇▇▇▇▇▇▇▇. “Title Policy” shall mean, with respect to each Property, an owner's policy of title insurance with respect to the Property in the standard form used in the state in which the Property is located, insuring as of the Closing Date, in an amount equal to the Allocated Purchase Price of such Property, that the Buyer owns fee simple title to such Property free and clear of all liens and encumbrances other than the Permitted Exceptions, and with such endorsements as may 10 be required by the Buyer, including, without limitation, an ALTA form of zoning endorsement, without standard exceptions for parties in possession (other than the Tenants), mechanics' liens, and matters of survey, to the extent available or permitted in the state in which such Property is located. “▇▇▇▇▇▇ Property” shall mean that certain land, as more particularly described on Schedule A-8 attached hereto, together with the buildings and other Improvements thereon. “Warranty Book” shall mean Seller's standard warranty requirements substantially in the form and substance of the warranty book provided by Seller to Buyer during the Due Diligence Period. Examples of Seller Consultant in a sentence

  • Seller and Seller Consultant shall reasonably consult with Buyer and Buyer Consultant throughout the construction of each of the Construction Projects, in order to apprise Buyer Consultant and Buyer of the progress of the construction of the Improvements.

  • The Sellers will have the right to procure alternate cost estimates and remedial plans (and the Purchaser will afford the Sellers or the Seller Consultant reasonable access to the Owned Real Property for purposes of procuring such alternate cost estimates and remedial plans) for the Necessary Remedial Action and provide written notice of such alternate cost estimates and remedial plan to the Purchaser for consideration.

  • The Sellers will have the right, at their sole cost and expense, to be present, and to cause the Seller Consultant to be present, on the Owned Real Property during the Phase I.

  • The Sellers and the Seller Consultant will have the right to be present on the Owned Real Property during all or any Necessary Remedial Action and discussions, including those with any governmental agencies, if required, concerning such Necessary Remedial Action.

  • SCHEDULE 3.9 sets forth (a) a list of all current employees of Seller employed by Seller predominantly in connection with the operation of the Business ("SELLER EMPLOYEES") and (b) a list of all consultants engaged by Seller in connection with the Business ("SELLER CONSULTANTS"), together with the agreement governing the engagement of such Seller Consultant (the "CONSULTANT AGREEMENTS").

  • The Seller will be fully responsible for all amounts payable to any consultant that were incurred by the Seller prior to the Closing Date, including (without limitation) all consulting fees and other amounts payable in respect of the termination of the consulting relationship between any Seller Consultant and the Seller in connection with the sale of the Purchased Assets to the Buyer.

  • The Sellers will, and will cause the Seller Consultant to, reasonably cooperate during reasonable business hours, as reasonably requested by the Purchaser, with the Purchaser or the Purchaser Consultant in conducting such Phase II.

  • If SMRH:4867-2220-9151.17 -10- Seller (or Seller’s representative(s)) would like to attend a meeting with the City, the County or any Seller Consultant, but cannot attend, Buyer shall reasonably cooperate with Seller and the City, the County or such Seller Consultant to attempt to reschedule such meeting.

  • Accordingly, Buyer shall (i) copy Seller on all meeting requests with the City, the County or any Seller Consultant and (ii) provide Seller at least three (3) Business Days’ prior written notice of all meetings with the City, the County or any Seller Consultant.

  • The Sellers will have the right, at their sole cost and expense, to be present, and to cause the Seller Consultant to be present and to take split samples, on the Owned Real Property during the Phase II.
