Seller Compensation and Benefit Plans. Section 3.01(t)(i)
Seller Compensation and Benefit Plans means: (a) all bonus, vacation, deferred compensation, pension, retirement, profit-sharing, thrift, savings, employee stock ownership, stock bonus, stock purchase, restricted stock and stock option, incentive, severance or change-in-control plans or other similar plans, policies, arrangements or agreements; (b) all medical, dental, disability, health and life insurance plans; and (c) all other employee benefit and fringe benefit plans, policies, arrangements or agreements, in the case of each of (a) through (c), maintained or contributed to by the Seller or any of its Affiliates for the benefit of any of the Transferred Employees or their beneficiaries.
Seller Compensation and Benefit Plans means all plans, arrangements, agreements, programs, policies, practices or undertakings, whether funded or unfunded, insured or uninsured, registered or unregistered including (i) all “employee benefit plans” within the meaning of Section 3(3) of ERISA (whether or not subject to ERISA), (ii) all bonus, vacation, deferred compensation, pension, retirement, profit-sharing, thrift, savings, employee stock ownership, stock bonus, stock purchase, restricted stock and stock option, incentive, severance or change-in-control plans or other similar plans, policies, arrangements or agreements, (iii) all employment agreements (or form employment agreements for non-management employees outside of the United States, provided that such form employment agreements are representative of the employment agreements for all such non-management employees), (iv) all medical, dental, disability, health and life insurance plans, and (v) all other employee benefit and fringe benefit plans, policies, arrangements or agreements, in the case of each of (i) through (v) under which Seller or any of its Relevant Affiliates has or will have any liability or contingent liability or which is maintained or contributed to by Seller or any of its Relevant Affiliates, in each case, for the benefit of any of the Eligible Employees or their beneficiaries, excluding Statutory Plans, and in excess of mandatory benefits provided in the relevant country pursuant to applicable Laws or industry wide collective bargaining agreements.

In no event shall Executive’s Termination Compensation include equity-based compensation (e.g., income realized as a result of Executive’s exercise of non-qualified stock options or other stock based benefits).
