Seller Closing Payments means, to the extent payable at Closing, any Taxes that Seller is required to pay under Section 10.3 as a result of Closing.
Closing Payment has the meaning set forth in Section 2.2(a).
Closing Purchase Price shall have the meaning ascribed to such term in Section 2.1(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.
Closing Consideration shall have the meaning set forth in Section 2.1(b).
Merger Closing shall have the meaning set forth in Section 2.2.
Estimated Closing Cash has the meaning set forth in Section 2.4(a).
Seller Closing Certificate has the meaning set forth in Section 7.02(d).
Second Closing has the meaning set forth in Section 2.2.
Option Closing Purchase Price shall have the meaning ascribed to such term in Section 2.2(b), which aggregate purchase price shall be net of the underwriting discounts and commissions.
Pre-Closing Straddle Period means the portion of a Straddle Period ending on the Closing Date.
Merger Closing Date the Closing Date (as defined in the Merger Agreement).
Pre-Closing Tax Period means any Tax period ending on or before the Closing Date.
Closing Period means the period between the close of business on the date of this Agreement and the Closing.
First Closing has the meaning set forth in Section 2.1(a).
Pre-Closing Period means any taxable period ending on or before the Closing Date.
Final Closing Cash shall have the meaning set forth in Section 2.11(g).
Subsequent Closing has the meaning set forth in Section 3.2.
Third Closing shall have the meaning ascribed to such term in Section 2.1(c).
Target Closing Date means three (3) Business Days following receipt of the Approval and Vesting Order, or such other date as the Parties may agree.
Closing Merger Consideration has the meaning set forth in Section 2.02
Seller Taxes has the meaning set forth in Section 11.1(f).
Pre-Closing Taxes means Taxes of the Company for any Pre-Closing Tax Period.
Put Closing shall have the meaning set forth in Section 2.3.8.
Assumed Liabilities has the meaning set forth in Section 2.3.
Indemnity Escrow Amount means $3,000,000.
Closing Cash Payment has the meaning set forth in Section 2.06(a).
Closing Cash Amount has the meaning set forth in Section 2.2.
