Sell-Off Period definition

Sell-Off Period has the meaning set forth in Section 11.6(a) hereof.
Sell-Off Period has the meaning set out in Section 6.5.
Sell-Off Period means a period of ninety (90) days after the date of expiration or termination of this Agreement.

  • Within [***] prior to the expiration of the Sell-Off Period, Licensee shall notify IDEAYA of any quantities of Licensed Products remaining in its inventory, and IDEAYA shall have the option, upon notice to Licensee, to repurchase any such quantities of Licensed Products from Licensee at the supply price (without any markup, profit or additional fees) paid by Licensee for such Licensed Product.

  • Neither Party shall, commencing with the date such termination becomes effective, have any further obligations under this Agreement except as expressly set forth in this Section 15.3 (Effects of Termination), Section 15.3(a)(v) (Sell-Off Period) or Section 15.6 (Survival).

  • For clarity, Licensee may continue to use the Product Trademarks solely for the purpose of selling such existing inventory of Licensed Products during the Sell-Off Period, subject to compliance with the terms and conditions of this Agreement (including Section 10.9 (Product Trademarks)).


More Definitions of Sell-Off Period

Sell-Off Period means the period beginning on the date of termination or expiry and ending on the date that is the earlier of:
Sell-Off Period for a product of the Business in a particular jurisdiction means (a) if there is a Registration Transition Period with respect to such product, the twelve (12) month period directly following the end of such Registration Transition Period, or (b) if there is no Registration Transition Period with respect to such product, the twelve (12) month period following the Closing Date.
Sell-Off Period has the meaning set forth in Section 11.6(c).
Sell-Off Period means the period from the Closing Date until the later of (i) the date at which Purchaser has sold all of the Inventory that consists of LEUKINE and (ii) the date which is three months after the date the FDA has approved Purchaser’s new packaging, displays, signs, promotional materials, manuals and forms for use in the packaging, marketing, promoting, advertising and selling of LEUKINE.
Sell-Off Period has the meaning given to it in SECTION 12.4(C).
Sell-Off Period means a period, which shall equal three (3) months in duration after the expiration or termination of this Agreement, during which Licensee is permitted to sell its inventory of Licensed Products as provided herein. Notwithstanding anything to the contrary contained herein, Licensee shall cease all sales and delivery of the Licensed Products after expiration of the Sell-Off Period, except to Callaway Golf as set forth below.
Sell-Off Period has the meaning set forth in Section 11.4.6 (Return or Destruction of Materials).
