No Contributor makes additional grants as a result of Your choice to distribute the Covered Software under a subsequent version of this License (see Section 10.2) or under the terms of a Secondary License (if permitted under the terms of Section 3.3).
Unless earlier terminated under this Section 10, this Agreement shall become effective as of the date of this Agreement and expire on a Licensed Product by Licensed Product and country by country basis (the “Term”) on the expiration of the Primary License Term or Secondary License Term, as applicable.
Ethicon hereby agrees not to exercise its rights to make, have made, import, use or sell the Products, Improved Products and Ethicon Funded New Products under its Secondary License, except in the event of a failure to supply meeting the requirements of Section 12.1 above or a termination of this Agreement by Ethicon pursuant to Section 14.1, and any such exercise shall be a material breach of the terms of this Agreement.
These secondary processors may be located at either the Primary License Location or the Secondary License Location.
Each Party shall cooperate fully with the other Party and its Affiliates in promptly seeking to obtain the Adult Use Approvals and with the formation of the Holding Company and Secondary License SPE including, without limitation, completing or consenting to any assignment of the Membership Interests to the Holding Company.
Furthermore, the Company may grant a secondary license for the execution of all or any of the following: research, development, manufacture, marketing, sale and/or distribution of product(s) by any third parties (“Secondary Licenses” and “Secondary Licensees”, respectively) provided that the Researcher's rights are not prejudiced and the Company remains bound by all provisions of the Agreement towards the Researcher as if no Secondary License was granted.
Each of the following schedules set forth on the Disclosure Schedules is attached to this Agreement, and the information contained therein is true and correct as of (i) with respect to the Primary License SPE, as of the IAED, and (ii) with respect to the Holding Company and Secondary License SPE, the Effective Date: Schedule 4.7(a): Tangible Assets/Equipment.
In the event Ethicon exercises its rights under its Secondary License, to make, have made or import the Products, Improved Products and/or Ethicon Funded New Products Neoprobe shall make available to Ethicon all of the information then in Neoprobe's possession or at its free disposal relating to the manufacture of the Products, Improved Products and/or Ethicon Funded New Products.

From the IAED until the Closing, at Purchaser’s sole cost and expense and at Purchaser’s direction, Seller shall use commercially reasonable efforts to cause the Secondary License SPE to open a second dispensary under the License, including submission of all necessary documents and information (the “Adult Use Approvals”).
