Second Lien Notes Agent means Wells Fargo Bank, National Association, together with its successors and assigns in such capacity.

Second Lien Notes Agent means, collectively, (a) the collateral agent for any Future Second Lien Notes Indebtedness, and (b) from and after the date of execution and delivery of a Notes Substitute Indenture that constitutes Future Second Lien Notes Indebtedness, the agent, collateral agent, trustee or other representative of the lenders or other holders of the indebtedness and other obligations evidence thereunder or governed thereby, in each case, together with its successors in such capacity.

• No financing statement or other public notice with respect to all or any part of the Collateral is on file or of record in any public office, except such as have been filed in favor of the Agent pursuant to this Security Agreement, the ABL Collateral Agent, the Second Lien Notes Collateral Agent, any Additional Pari Term Debt Agent or Additional Pari Second Lien Notes Agent (each as defined in the ABL Intercreditor Agreement) or as are permitted by the Credit Agreement.

• In the event of any conflict or inconsistency between the terms of the ABL/Term Loan/Notes Intercreditor Agreement and this Agreement regarding the relative priorities of the ABL Collateral Agent, the Collateral Agent, the New Second Lien Notes Agent and the New Third Lien Notes Agent in the Collateral, the terms of the ABL/Term Loan/Notes Intercreditor Agreement shall govern and control.

• Subject to Article 5 and Section 7.2, which shall be binding on all Persons pursuant to this Plan and the Final Order, this Plan shall not, and shall not be deemed to, affect any of the Existing Second Lien Noteholders or the Existing Second Lien Notes Agent, or any of Bellatrix’s obligations under or in respect of the Existing Second Lien Notes.

• All notices to the Second Lien Claimholders and the First Lien Claimholders permitted or required under this Agreement shall be sent to the Second Lien Notes Agent and the First Lien Collateral Agent, respectively.

• The First Lien Collateral Agent is hereby authorized to make any such endorsements as agent for the Second Lien Notes Agent or any such other Second Lien Claimholder.

Second Lien Notes Agent has the meaning assigned to that term in the Preamble to this Agreement.

Second Lien Notes Agent means Xxxxx Fargo Bank, National Association, together with its successors and assigns in such capacity. “Second Lien Notes Documents” shall mean the Second Lien Notes, the Second Lien Notes Indenture, the Second Lien Notes Security Documents and all other documents executed and delivered with respect to the Second Lien Notes or Second Lien Notes Indenture, as in effect on the Effective Date and as the same may be amended, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.

Second Lien Notes Agent means the Agent and/or Indenture Trustee under the Second Lien Notes Indenture.

Second Lien Notes Agent has the meaning set forth in the Preamble of this Agreement.

Second Lien Notes Agent means Wilmington Savings Fund Society, FSB, in its capacity as collateral agent and indenture trustee under the Second Lien Indenture, including any successor thereto.
