Second Aggregate Amount definition

Second Aggregate Amount means the sum of (i) the First Aggregate Amount and (ii) the following amount, (1) the aggregate amount of Beneficiary EON Distributions received on account of the Litigation Trust Series B-1 Certificates divided by (2) the Second Distribution Ratio.
Second Aggregate Amount means the sum of (i) the First Aggregate Amount, (ii) the following amount, (1) the aggregate amount of Beneficiary EON Principal Distributions received on account of the Litigation Trust Series B-1 Certificates divided by (2) the Second Distribution Ratio and (iii) the lesser of (x)(1) $2.7 million minus (2) an amount equal to the product of (A) the same cumulative percentage as the Claims represented by the Litigation Trust Series B-1 Certificates (based on the maximum amount of Beneficiary EON Distributions entitled to be received in respect of such Certificates) are reduced (in the aggregate) in respect of any Beneficiary EON Principal Distributions received on account of such certificates, and (B) $2.7 million, (y) $4.05 million minus the sum of (I) an amount equal to the product in clause (iii)(x)(2) plus (II) any Beneficiary Litigation Distributions received on account of the Litigation Trust Series B-2 Certificate, or (z) the amount outstanding on the Claim represented by the Litigation Trust Series C-2 Certificate (as determined in accordance with Section 4.2(f) hereof) minus the amount equal to the product in clause (iii)(x)(2).

Related to Second Aggregate Amount

  • Aggregate Amount means the aggregate amount by which the resolution authority has assessed that eligible liabilities are to be written down or converted, in accordance with Article 46(1);

  • Broken Amount means, in respect of any Interest Payment Date, the amount specified in the relevant Final Terms.

  • Maximum Contribution Amount shall equal the excess of (i) the aggregate proceeds received by such Holder pursuant to the sale of such Registrable Notes or Exchange Notes over (ii) the aggregate amount of damages that such Holder has otherwise been required to pay by reason of such untrue or alleged untrue statement or omission or alleged omission. No person guilty of fraudulent misrepresentation (within the meaning of Section 11(f) of the Securities Act) shall be entitled to contribution from any Person who was not guilty of such fraudulent misrepresentation. The Holders’ obligations to contribute pursuant to this Section 8(d) are several in proportion to the respective principal amount of the Registrable Securities held by each Holder hereunder and not joint. The Company’s and Subsidiary Guarantors’ obligations to contribute pursuant to this Section 8(d) are joint and several. The indemnity and contribution agreements contained in this Section 8 are in addition to any liability that the Indemnifying Parties may have to the Indemnified Parties.

  • Aggregate Excess Funding Amount of a Non-Funding Lender shall be the aggregate amount of all unpaid obligations owing by such Lender to Agent and other Lenders under the Loan Documents, including such Lender’s Ratable Share of Loans.

  • Aggregate Loan Group Balance As to any Loan Group and as of any date of determination, will be equal to the aggregate of the Stated Principal Balances of the Mortgage Loans in that Loan Group, except as otherwise provided, as of the last day of the related Collection Period.

  • Excess Aggregate Contributions means, with respect to any Plan Year, the excess of:

  • Excess Funding Amount means the amount on deposit in the Excess Funding Account.

  • Cash Contribution Amount means the aggregate amount of cash contributions made to the capital of the Issuer or any Guarantor described in the definition of “Contribution Indebtedness.”

  • Balance Amount shall have the meaning set forth in Section 8.1 of this Agreement.

  • Aggregate Loan Balance At any date of determination, the outstanding principal balance of the Mortgage Loans serviced hereunder.

  • Maximum Aggregate Purchase Price has the meaning assigned to such term in the Pricing Side Letter.

  • Aggregate Amounts Due as defined in Section 2.17.

  • Aggregate Value means, with respect to any block of Equity Stock, the sum of the products of (i) the number of shares of each class of Equity Stock within such block multiplied by (ii) the corresponding Market Price of one share of Equity Stock of such class.

  • Contribution Percentage Amounts means the sum of the Employee Contributions, Matching Contributions, and Qualified Matching Contributions (to the extent not taken into account for purposes of the ADP test) made under the Plan on behalf of the participant for the Plan Year. Such Contribution Percentage Amounts shall not include Matching Contributions that are forfeited either to correct Excess Aggregate Contributions or because the contributions to which they relate are Excess Deferrals, Excess Contributions, or Excess Aggregate Contributions. If so elected in the adoption agreement the Employer may include Qualified Nonelective Contributions in the Contribution Percentage Amounts. The Employer also may elect to use Elective Deferrals in the Contribution Percentage Amounts so long as the ADP test is met before the Elective Deferrals are used in the ACP test and continues to be met following the exclusion of those Elective Deferrals that are used to meet the ACP test.

  • Company Contribution Amount means, for any one Plan Year, the amount determined in accordance with Section 3.5.

  • M&O Amount means the revenue protection payment required as part of this Agreement as set out in TEXAS EDUCATION CODE Section 48.256(d) and shall have the meaning assigned to such term in Section 4.2 of this Agreement.

  • Reduction Amount has the meaning set forth in Section 2.05(b)(viii).

  • Pre-Funding Amount With respect to any date, the amount on deposit in the Pre-Funding Account.

  • Cut-Off Date Aggregate Principal Balance The aggregate of the Cut-Off Date Principal Balances of the Mortgage Loans is as set forth in Section 11.03.

  • Available Aggregate Commitment means, at any time, the Aggregate Commitment then in effect minus the Aggregate Outstanding Credit Exposure at such time.

  • Capitalization Reimbursement Amount As to any Distribution Date, the amount of Advances or Servicing Advances that were added to the Stated Principal Balance of the related Mortgage Loans during the prior calendar month and reimbursed to the Master Servicer or Subservicer on or prior to such Distribution Date pursuant to Section 3.10(a)(vii), plus the Capitalization Reimbursement Shortfall Amount remaining unreimbursed from any prior Distribution Date and reimbursed to the Master Servicer or Subservicer on or prior to such Distribution Date.

  • Aggregate Funded Spread means, as of any date, the sum of:

  • Advance Amount means with respect to Class A Advances, the Class A Advance Amount and, with respect to Class B Advances, the Class B Advance Amount.

  • Total Available Funds shall have the meaning set forth in Section 5.7(a).

  • Final Payment Percentage is five percent (5.00%).

  • Original Pre-Funded Amount The amount deposited by the Depositor in the Pre-Funding Account on the Closing Date, which amount is $36,215,225.
