Scotty. Xxxxx effective as of July 30, 2003. EXPLANATORY STATEMENT The Optionee is the Chief Executive Officer of the Company and as such is important to the Company's continued success. In exchange for the Optionee's continued services, pursuant to an Employment Agreement between the Optionee and the Company dated as of July 1, 2003, the Board of Directors of the Company has determined to grant to the Optionee an option, pursuant to the Company's 2002 Stock Option Plan, to purchase one hundred thousand (100,000) shares of the Company's common stock, par value $.01 per share, on the terms and conditions set forth in this Stock Option, and at an exercise price of $0.35 per share which price the Board has determined to be the fair market value of the Common Stock as of the Grant Date. Now, therefore, to evidence the grant of the option and to set forth the terms and conditions governing the exercise thereof and the parties' other agreements relative thereto, Optionee and the Company agree as follows:
