Schedule of Members definition

Schedule of Members has the meaning set forth in Section 3.01(b).

Schedule of Members means the Schedule of Members attached hereto, which sets forth with respect to each Member the respective number and class of Units owned by such Member and the amount of Capital Contributions made by such Member with respect thereto.

Schedule of Members means the list maintained by the Manager, including in the form of an Electronic Record, in accordance herewith containing the name, address, Commitments, Contributions and Base Percentages of each Member, which list shall not be attached to this Agreement but shall be incorporated by reference herein, as the same shall be constituted from time to time, and made a part hereof.

Examples of Schedule of Members in a sentence

• Subject to the provisions of Article X hereof, in connection with the Permitted Transfer of a Unit hereunder, the Permitted Transferee shall become a Substituted Member on the effective date of such Transfer, which effective date shall not be earlier than the date of compliance with the conditions to such Transfer, and such admission shall be shown on the books and records of the Company, including the Schedule of Members.

• Such admission shall become effective on the date on which the Manager determines in its sole discretion that such conditions have been satisfied and when any such admission is shown on the books and records of the Company, including the Schedule of Members.

• The Manager shall promptly amend the Schedule of Members without the consent or approval of any Member or any other Person to reflect any Permitted Transfer pursuant to this Article X.

More Definitions of Schedule of Members

Schedule of Members has the meaning set forth in Section 7.02.

Schedule of Members shall have the meaning set forth in the introductory paragraph hereto.

Schedule of Members means the Schedule of Members, which, except as provided in Section 3.2, shall identify the Percentage Interests, the number of Units held by the Members and the Capital Contributions made by such Members for such Units, which Schedule of Members the Board shall update upon the issuance of any Units to any new Member, upon the Transfer of any Units to any new or existing Member, upon the forfeiture of any Units, or in the manner described in Section 14.20 if any proposed Member does not execute and deliver this Agreement.

Such Schedule of Members shall be amended by the Board from time to time to reflect the list of Members, their notice information and the Units held by them at such time and a copy of such amended Schedule of Members shall be made available by the Board for inspection by any Member upon the reasonable written request of such Member.

Schedule of Members has the meaning specified in Section 3.1(b).

Schedule of Members means the Schedule of Members of the Company as maintained by the Board of Directors on behalf of the Company.
