SCC PAYMENT CONDITIONS means (A) no Event of Default has occurred or would occur as a result of the payment of the then applicable SCC Management Fee and (B) the applicable SCC Management Fee would be permitted to be made pursuant to the terms and conditions of the Subordinated Notes and the Management Subordination Agreement.
