Sales Services definition

Sales Services means services provided by: (1) GEID related to activities primarily intended to result in the selection by an Insurance Company of a class of shares of a Fund, as an investment option in its Contracts or Policies, or (2) GEID or another broker-dealer related to activities primarily intended to result in investment in a class of shares of a Fund by owners of Contracts or Policies. Sales Services does not include Personal Services provided by a broker-dealer to owners of Contracts or Policies who are its customers.

Sales Services means services provided by Product Distributor or by a broker-dealer having an agreement with Product Distributor to distribute Contracts and Policies (a “Selling Broker-Dealer”), related to activities primarily intended to result in investment in the Shares by owners or prospective owners of Contracts or Policies. Sales Services does not include Personal Services provided by Product Distributor or a Selling Broker-Dealer to owners of Contracts or Policies indirectly invested in Shares who are its customers.

Sales Services means, collectively, NTP Sales Services, and CTMS Sales Services.

Examples of Sales Services in a sentence

• The Bidder shall include Sales/ Services Tax on Works Contract, or any other similar taxes under the Sales Tax Act, as applicable in their quoted Tenders price and MePTCL would not bear any liability on this account.

• Product Distributor agrees that in providing Sales Services under this Agreement, the Selling Broker-Dealer is solely responsible for all recommendations made to owners or prospective owners of Contracts or Policies regarding the Funds and the Shares, including all suitability determinations made in connection with such recommendations.

Sales Services. (i) representation and lead referrals to the Hotel (1) on the same basis as Hilton Entities do for Other Hilton Licensees and (2) on an equitable basis (as to allocation and pursuit of such referrals) consistent with past practice under the Existing License Agreement and/or the Existing Sales Agreement or otherwise regarding treatment of the Hotel prior to the Effective Date vis-à-vis other gaming properties managed and/or owned by Xxxxxx’x (including the Caesar’s Palace, as the same may be added (and that Resorts acknowledges may be added for all Sales Services) to the Existing License Agreement and/or the Existing Sales Agreement or any amendment or replacement to such agreements); (ii) access to the Hilton global SFA customer data base on the same basis as other Hilton Licensees and, with respect to any gaming properties managed and/or owned by Xxxxxx’x, on the same equitable basis as exists prior to the Effective Date; (iii) annual local negotiated rate solicitation to the extent provided to the Other Hilton Licensees and/or gaming properties managed and/or owned by Xxxxxx’x; (iii) travel agent and tour operator programs if and to the extent provided to the Other Hilton Licensees and/or gaming properties managed and/or owned by Xxxxxx’x; (v) participation, at Resorts’ election, in ROVER (Hilton’s hotel-to-hotel referral program); and participation, at Resorts election, in Group Opportunity (GO, or, if replaced, any alterative Hilton program for distressed hotels or those hotels with seasonal needs); and (vi) inclusion of the Hotel in the group of hotels offered to provide a request for proposal for any Hilton sales events that include Las Vegas. If Hilton operates or licenses the casino hotel project on the Las Vegas Strip currently known as the “Cosmopolitan,” it shall terminate the Existing License Agreement and the Existing Sales Agreement at the earliest possible time as provided in accordance with the terms of such agreements and will not enter into similar agreements to provide Sales Services to any other hotel, gaming or convention facility within the Restricted Area.

Sales Services includes Personal Services provided by CBC or a Selling Broker-Dealer to owners or prospective owners of Contracts or Policies who are its customers, that are primarily intended to result in investment in Class 2, Class 3, or Class 4 Shares of a Fund listed on Schedule A by such owners or prospective owners of Contracts or Policies.
