Sale Agreement Final Payment Date means the later of the Facility Termination Date and the date on which all Capital, Yield and other amounts payable under the Sale Agreement are paid in full.
Final Payment Date means the "Final Payment Date" as specified in § 1 of the Product and Underlying Data.
Legal Final Payment Date means the one-year anniversary of the Expected Final Payment Date.
Scheduled Final Payment Date means, with respect to each Tranche of Securitization Bonds, the date when all interest and principal is scheduled to be paid with respect to that Tranche in accordance with the Expected Amortization Schedule, as specified in the Series Supplement. For the avoidance of doubt, the Scheduled Final Payment Date with respect to any Tranche shall be the last Scheduled Payment Date set forth in the Expected Amortization Schedule relating to such Tranche. The “last Scheduled Final Payment Date” means the Scheduled Final Payment Date of the latest maturing Tranche of Securitization Bonds.
Expected Final Payment Date means the September 2021 Distribution Date.
Initial Payment Date has the meaning specified in Section 3 of this Supplement.
Class B Final Scheduled Payment Date means the Payment Date occurring in June 2021.
Closing Date Purchase Price shall have the meaning set forth in Section 2.1 hereof.
Principal Payment Date means, if applicable, each date designated as such in the Series Term Sheet.
Class C Final Scheduled Payment Date means the Payment Date occurring in January 2026.
Class D Final Scheduled Payment Date means the Payment Date occurring in April 2021.
Class A-3 Final Scheduled Payment Date means the Payment Date occurring in February 2028.
Loan Payment Date means any date on which any Bond Service Charges are due and payable.
Class A-4 Final Scheduled Payment Date means the June 16, 2025 Payment Date.
Class A-2 Final Scheduled Payment Date means the Payment Date occurring in January 2025.
Class A-3 Final Scheduled Distribution Date means January 15, 2021.
Class A-1 Final Scheduled Payment Date means the Payment Date occurring in August 2024.
Amortization Payment Date shall have the meaning set forth in Section 2(d).
Subsequent Mortgage Loan Purchase Agreement The agreement between the Depositor and the Seller regarding the transfer of the Subsequent Mortgage Loans by the Seller to the Depositor.
Original Purchase Date means with respect to any Loan, the date such Loan was purchased by Town Hall Funding from the Master Depositor pursuant to the Conveyance Agreement.
Original Purchase Price means the price paid by you for the motor vehicle or a maximum of 110% of the market value of the vehicle as defined by Glass's Guide Retail at time of purchase, whichever is the lesser (including all factory fitted accessories) and after any discount given, but does not include the cost of dealer fitted accessories, road fund licence, new vehicle registration fee, fuel, paintwork and/or upholstery protection kits, insurance premiums (including the premium for this policy), warranty premiums, any finance arrears and any such associated costs and any negative equity transferred from a previous finance agreement.
Class A-4 Final Scheduled Distribution Date means December 16, 2024.
Class A-1 Final Scheduled Distribution Date means the Distribution Date.
Note Payment Date means any date on which principal of or interest on any Note is payable.
Final Purchase Price has the meaning set forth in Section 2.02.
Final Payout Date means the date on which all Obligations have been paid in full and the Aggregate Commitment has been terminated.
Class A-2 Final Scheduled Distribution Date means the Distribution Date.
