AND CYBERBROKER, INC. (NAME OF CORRESPONDENT) This is an Amendment dated July 19, 1999, ("Amendment") to the Fully Disclosed Clearing Agreement ("Agreement") between Pens▇▇ ▇▇▇ancial Services, Inc., a division of Service Asset Management Company, a North Carolina corporation and CyBer Broker, Inc. (Name of Correspondent) BACKGROUND In light of recent amendments to NASD Rule 3230, revisions have been made to certain provisions of the Agreement to incorporate the requirements of these amendments. As such the following provisions of the Agreement are hereby amended to read as follows (revisions are noted in bold print):

Related to Safekeeping Charge

  • Parking Charge means the charge paid by drivers to leave a vehicle in a parking place;

  • Floating Charge means a charge that, as created, was a floating charge;

  • Security Deed means the security deed dated on or about the Series Issue Date of the ETC Securities entered into as a deed by the Issuer, the Trustee and any other parties thereto by the execution of the Issue Deed and in the form of the Master Security Terms (as amended and/or supplemented by the Issue Deed) and as such Security Deed is amended, supplemented, novated or replaced from time to time.

  • Access Charge has the meaning set out in Clause 6.1;

  • Account Charge means, in relation to each of the Charged Accounts, the first priority fixed charge or pledge over all such accounts given or to be given by the relevant account holder thereof in favor of and in form and substance satisfactory to the Security Trustee.
