S Class. A" common stock is no longer actively traded on NASDAQ or any other recognized securities market, then the Market Price shall be an amount per Share equal to the average between the most recent bid and offer price quoted for the Class "A" common stock on a Qualifying Electronic Quotation System recognized by the Securities and Exchange Commission, or if no such quotations are available, an amount equal to the fair market value of such Shares as of the Company's most recent quarterly financial statements preceding the date of JWN's acceptance of the offer as determined by a valuation to be prepared by an independent appraiser agreed upon by the parties.
S Class. B Note with respect to Assignee's Share as will result in Assignee having from and after the Effective Date the Percentage ("Assignee's Percentage") specified in Annex I.
S Class. The “Class” consisting of the S-LT and S-TF Classes, in the aggregate, as specified in Sections 2.03 and 3.06 herein.

Related to S Class

  • Subclass With respect to the Class A-V Certificates, any Subclass thereof issued pursuant to Section 5.01(c). Any such Subclass will represent the Uncertificated Class A-V REMIC Regular Interest or Interests specified by the initial Holder of the Class A-V Certificates pursuant to Section 5.01(c).

  • New Class Loans shall have the meaning assigned to such term in Section 9.08(f).

  • Subordinated Class means, with respect to the Class A Notes, the Class B Notes.

  • Class when used in reference to any Loan or Borrowing, refers to whether such Loan, or the Loans comprising such Borrowing, are Revolving Loans or Swingline Loans.

  • Class H designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
