The Company and the Subsidiaries have established disclosure controls and procedures (as defined in Exchange Act Rules 13a-15(e) and 15d-15(e)) for the Company and the Subsidiaries and designed such disclosure controls and procedures to ensure that information required to be disclosed by the Company in the reports it files or submits under the Exchange Act is recorded, processed, summarized and reported, within the time periods specified in the SEC’s rules and forms.
Any dispute arising out of or relating to this Agreement, including any question regarding its existence, validity or termination (“Dispute”) shall be referred to and finally resolved by arbitration at the Hong Kong International Arbitration Centre in accordance with the Hong Kong International Arbitration Centre Administered Arbitration Rules then in force.
The Company (i) is not a “covered foreign person” within the meaning the U.S. Outbound Investment Rules, and (ii) does not plan to make any investment, become a party to any joint venture or other arrangement, or engage in any other activity as a result of which the Company would be or become a “covered foreign person” within the meaning of the U.S. Outbound Investment Rules.
Any arbitration under this Agreement shall be conducted pursuant to the Employment Arbitration Rules of JAMS (“JAMS Rules”).
