Royalty Reporting Form definition

Royalty Reporting Form means a statement provided by Licensee to Licensing Company by electronic means pursuant to Section 5.4, or in such other means as may be subsequently communicated by Licensing Company to Licensee.
Royalty Reporting Form means a written statement in the form as attached hereto as Annex 1 signed by a duly authorized officer on behalf of Philips.
Royalty Reporting Form means a written statement setting forth the quantities of Royalty‐Bearing Products and Exempt Products for the relevant Reporting Period using the form attached hereto as Annex C, or such other form (hardcopy or electronic) as may be subsequently communicated by Philips to Registrant.

  • Licensee shall separately identify the Licensed Product with additional functionality, and the circumstances relating to the additional functionality, in the Royalty Reporting Form for the monthly period in which the Licensed Product became capable of additional functionality.

  • Within thirty (30) days after the receipt of the Royalty Reporting Form, Licensing Company shall invoice Licensee for royalties that have accrued in the previous calendar Quarter or earlier (except in the case of Previously- Shipped Products, Licensing Company shall send an invoice to the Licensee for the royalties that have accrued for such products within thirty (30) days after receipt of the Official Past Use Report referenced in Section 5.3(b)(2).

  • Registrant acknowledges and agrees that no license, release, or authorization is granted by Philips to use any of the Release Patents (or any other Philips Patent) or to make, have made, import, use, offer for Sale, Sell or otherwise dispose of any product that is not correctly reported in Royalty Reporting Form.

  • Philips shall e‐mail a Limited Release document along with a copy of said final Royalty Reporting Form to Registrant’s Royalty Reporting Contact within 30 days of the last to be received of (i) said final Royalty Reporting Form and (ii) payment in full of the Balance Due (and all interest due thereon).

  • Together with submission of Philips’ Royalty Reporting Form, subject to Section 3.2, Philips shall pay the corresponding FOSSL Enabled Payment due to SPE hereunder within [***] of receiving an invoice for such payment.

  • Within 30 days following the expiration or termination of this Agreement, Registrant shall submit to Philips a final certified Royalty Reporting Form on the number of Scope Products in stock at the time of expiration or termination of this Agreement.

  • The Royalty Reporting Form in respect of the Past Use Period shall be subject to Philips’ right of audit set out in Clause 2.10.

  • Registrant confirms that it has submitted to Philips a Royalty Reporting Form, certified by a corporate officer of Registrant, setting forth the information specified in Clause 2.04 in respect of those Scope Products made, Sold, used, or intended for use in a Patent Country during the Past Use Period, and specifying the royalties due (“Past Use Amount”) for the Past Use Period.

  • Any invoice sent by Philips shall not be deemed to constitute acceptance by Philips of the correctness of the Royalty Reporting Form and shall not affect any of Philips rights under this Agreement, including, without limitation, Philips’ right to conduct an audit in accordance with the provisions of Clause 2.10.

  • Registrant shall pay to Philips the Past Use Amount as reported in a Royalty Reporting Form as set forth in Annex E.


More Definitions of Royalty Reporting Form

Royalty Reporting Form means a written statement in the form as attached hereto as Exhibit 1.18 signed by a duly authorized officer on behalf of Q Bio.
Royalty Reporting Form means an electronically submitted statement setting forth the quantities of Licensed Products Sold by Licensee and its Affiliates in the relevant reporting period, using the form that will be provided by Philips to Licensee, as attached hereto as Annex B, or such other form as may be subsequently prescribed by Philips.
Royalty Reporting Form means that form set forth as Exhibit C, as such Exhibit may be amended from time to time by Licensor.

Related to Royalty Reporting Form

  • Royalty Report has the meaning set forth in Section 6.3(a).

  • Sales Report means a report in substantially the form set forth in Exhibit B “Royalty Report Form”.

  • MI Reporting Template means the form of report set out in the Annex to Framework Schedule 8 (Management Information) setting out the information the Supplier is required to supply to the Authority;

  • Reporting Party means any person who alleges that a student has violated this Code.

  • Third Party Reports With respect to any Mortgaged Property, the related Appraisal, Phase I environmental report, Phase II environmental report, seismic report or property condition report, if any.

  • CMSA Operating Statement Analysis Report means a report substantially in the form of, and containing the information called for in, the downloadable form of the "Operating Statement Analysis Report" available as of the Closing Date on the CMSA Website or in such other form for the presentation of such information and containing such additional information as may from time to time be approved by the CMSA for commercial mortgage-backed securities transactions generally.

  • MI Report means a report containing Management Information submitted to the Authority in accordance with Framework Schedule 8 (Management Information);

  • Rapid(ly) report(ing means within 72 hours of discovery of any cyber incident.

  • Green Tag Reporting Rights means the right of a purchaser of renewable energy to report ownership of accumulated “green tags” in compliance with and to the extent permitted by applicable Law and include, without limitation, rights under Section 1605(b) of the Energy Policy Act of 1992, and any present or future federal, state or local certification program or emissions trading program, including pursuant to the WREGIS Operating Rules.

  • Third Party Royalties means royalties payable by either Party to a Third Party in connection with the manufacture, use or sale of Franchise Products.

  • CREFC® Operating Statement Analysis Report The monthly report in the “Operating Statement Analysis Report” format substantially in the form of and containing the information called for therein for the Mortgage Loans, or such other form for the presentation of such information as may be approved from time to time by the CREFC® for commercial mortgage securities transactions generally.

  • CREFC® Intellectual Property Royalty License Fee With respect to each Mortgage Loan (including any REO Mortgage Loan) and for any Distribution Date, the amount accrued during the related Interest Accrual Period at the CREFC® Intellectual Property Royalty License Fee Rate on, in the case of the initial Distribution Date, the Cut-Off Date Balance of such Mortgage Loan and, in the case of any subsequent Distribution Date, the Stated Principal Balance of such Mortgage Loan as of the close of business on the Distribution Date in the related Interest Accrual Period; provided that such amounts shall be computed for the same period and on the same interest accrual basis respecting which any related interest payment due or deemed due on the related Mortgage Loan is computed and shall be prorated for partial periods. For the avoidance of doubt, the CREFC® Intellectual Property Royalty License Fee shall be payable from the Lower-Tier REMIC.

  • Monthly Reporting Period The period, which period the Administrator has the right to change as provided in Section 3.05(d) of this Agreement, during which servicers report Mortgage payments to the Administrator, generally consisting of:

  • Rapidly report means within 72 hours of discovery of any cyber incident.

  • Royalty Payments has the meaning set forth in Section 7.3.1.

  • Feasibility Report means a detailed written report of the results of a comprehensive study on the economic feasibility of placing the Property or a portion thereof into Commercial Production and shall include a reasonable assessment of the mineral ore reserves and their amenability to metallurgical treatment, a description of the work, equipment and supplies required to bring the Property or a portion thereof into Commercial Production and the estimated cost thereof, a description of the mining methods to be employed and a financial appraisal of the proposed operations supported by an explanation of the data used therein;

  • License Certificate means evidence of a license provided by Licensor to Licensee in electronic or printed form.

  • GLJ Report means the independent engineering reserves evaluation of certain oil, NGL and natural gas interests of the Company prepared by GLJ dated February 11, 2022 and effective December 31, 2021.

  • Monthly Reporting Date means the 25th day of each month after the date of this Agreement (or if any such day is not a Business Day, the next succeeding Business Day thereafter).

  • Monthly Reports shall have the meaning specified in Section 5.16(b) of the Indenture.

  • CREFC® Investor Reporting Package (IRP) Collectively: (a) the following nine data files (and any other files as may be, or have been, adopted and promulgated by CREFC® as part of the CREFC® Investor Reporting Package (IRP) from time to time): (i) CREFC® Loan Setup File, (ii) CREFC® Loan Periodic Update File, (iii) CREFC® Property File, (iv) CREFC® Bond Level File, (v) CREFC® Financial File, (vi) CREFC® Collateral Summary File, (vii) CREFC® Special Servicer Loan File, (viii) CREFC® Special Servicer Property File and (ix) CREFC® Schedule AL File;

  • CREFC® Investor Reporting Package® shall have the meaning assigned to such term or an analogous term in the Servicing Agreement.

  • Reporting Material means all Material which the Grantee is required to provide to the Commonwealth for reporting purposes as specified in the Grant Details and includes any Existing Material that is incorporated in or supplied with the Reporting Material.
