Examples of Rollover Percentage in a sentence
The maximum number of Class B Units purchased in any calendar quarter pursuant to the exercise of a Call Option shall be the product of (i) the lesser of (A) the sum of (x) twenty-five percent (25%), plus (y) the Buyout Rollover Percentage, and (B) fifty percent (50%), multiplied by (ii) the aggregate number of Class B Units outstanding on the Effective Date.
The Borrower shall pay to the Administrative Agent for the account of each Lender a commitment fee (the “Commitment Fee”) on the average daily undrawn amount of the Commitment of such Lender during each calendar quarter or portion thereof during the Commitment Period at a rate per annum of 1.0% less, for any Rollover Lender party to the Existing Credit Facility constituting the Revolving Credit Facility, 1% of such Lender’s Rollover Percentage of its undrawn commitment under the Revolving Credit Agreement.
Notwithstanding anything to the contrary herein, any Company Unitholder who at the Closing owns a Disqualified Unit shall be deemed to have elected a Percentage Election equal to the Individual Minimum Rollover Percentage with respect to such Disqualified Units.
