  • Promptly after the Closing, (i) Rockpoint shall deliver to Buyer a written acknowledgment from Rockpoint’s Broker acknowledging full payment of Rockpoint’s Broker’s Commission, and (ii) Buyer shall deliver to Rockpoint a written acknowledgment from Buyer’s Broker acknowledging full payment of Buyer’s Broker’s Commission.

  • Asset Management Agreement means, as the context requires, any agreement entered into between a Series and an Asset Manager pursuant to which such Asset Manager is appointed as manager of the relevant Series Assets, as amended from time to time.

  • Participating Broker- Dealer: See Section 2(b) hereof.   • Engagement Letter means that certain Engagement Letter, dated as of June 18, 2015, by and among the Borrower and the Arrangers.
