R&M Employee definition
R&M Employee means any person employed or engaged (or formerly employed or engaged) by R&M in the provision of the Services;
R&M Employee means each current, former, or retired employee of an RM Transferred Subsidiary together with those employees listed on Schedule 8.18A-2.

Except as set forth on Schedule 8.18F, no RM Employee is employed pursuant to a CBA or a works council agreement to which a member of the RP Group is a party that any Merial Venture Company will be bound by after the Closing or will otherwise be obligated to honor or assume in connection with this Agreement or the transactions contemplated by this Agreement, other than those agreements that the Merial Venture is obligated to assume under applicable law.
Within six (6) weeks after the date of this Agreement, RM will complete Schedule 8.18A-I by providing to Merck a list of all RM Employee Agreements.
