Rights Issue definition

Rights Issue means an offer of shares open for a period fixed by the Directors to holders of shares on the register of members on a fixed record date in proportion to their then holdings of such shares (subject to such exclusions or other arrangements as the Directors may deem necessary or expedient in relation to fractional entitlements or having regard to any restrictions or obligations under the laws of any relevant jurisdiction, or the requirements of any recognised regulatory body or any stock exchange).”

The enlarged share capital of the Company after the completion of the Rights Issue will be 2,255,387,331 Shares.

Company successfully completed the Rights Issue of shares during the year ended 31st March 2021, thereby increasing the equity base of the Company by Rs.149 Mn. Therefore with the capital raising currently it is assessed that there is no significant impact on the financing and liquidity position of the Company due to the COVID-19 outbreak.

Company raised a sum of Rs.149,976,450/- by way of a Rights Issue of 749,882,250 Ordinary Voting Shares in the proportion of one (1) Ordinary Share for every four (4) Ordinary Shares held in the Company at a consideration of Rs.0.20 per share, which concluded on 2nd September 2020.

The Rights Issue will proceed on a non-underwritten basis as it will be fully subscribed pursuant to the Irrevocable Undertakings as mentioned in paragraph 1.2 to 1.4 above.
