RHI Merger Agreement means that certain Agreement and Plan of Merger, dated as of the date hereof, by and among Parent, RHI Merger Sub, Inc., a Delaware corporation and Parent's wholly-owned subsidiary, and Rightside Holdings, Inc., a Delaware corporation.
