Related to RFP Closing Date and Time
Closing Date and Time means the deadline for the submission of Proposals as set out herein.
Proposal Due Date and Time means the date and time specified in the Request for Proposal as the deadline for submitting Proposals.
Amendment Closing Date means October 20, 2006.
Restatement Closing Date means the date of this Agreement or such later Business Day upon which each condition described in Section 5.1 shall be satisfied or waived in all respects in a manner acceptable to the Administrative Agent, in its sole discretion.
Target Closing Date means three (3) Business Days following receipt of the Approval and Vesting Order, or such other date as the Parties may agree.
First Closing Date shall refer to the time and date of delivery of certificates for the Firm Shares and such Optional Shares). Any such time and date of delivery, if subsequent to the First Closing Date, is called an “Option Closing Date,” shall be determined by the Representatives and shall not be earlier than three or later than five full business days after delivery of such notice of exercise. If any Optional Shares are to be purchased, each Underwriter agrees, severally and not jointly, to purchase the number of Optional Shares (subject to such adjustments to eliminate fractional shares as the Representatives may determine) that bears the same proportion to the total number of Optional Shares to be purchased as the number of Firm Shares set forth on Schedule A opposite the name of such Underwriter bears to the total number of Firm Shares. The Representatives may cancel the option at any time prior to its expiration by giving written notice of such cancellation to the Company.
Second Closing Date means the date of the Second Closing.
Option Closing Date means the date or dates on which any Common Units are sold by the Partnership to the Underwriters upon exercise of the Over-Allotment Option.
First Amendment Closing Date means November 28, 2017.
Draft Closing Statement means a draft closing statement, prepared by Seller and in a form mutually agreed to by the parties, which shall be initially prepared as of the close of business on the fifth (5th) Business Day preceding the Closing Date, and delivered to Purchaser on the third (3rd) Business Day preceding the Closing Date and which shall be subsequently updated as of the close of business on the third (3rd) Business Day preceding the Closing Date, and delivered to Purchaser on the Business Day prior to the Closing Date, in each case setting forth Seller’s reasonable estimated calculation of both the Purchase Price and the Estimated Payment Amount.
Third Closing Date means the date of the Third Closing.
Acquisition Closing Date means the date on which the Acquisition is consummated.
Final Closing Statement has the meaning set forth in Section 2.3(c).
Additional Closing Date means the date of the closing of the purchase and sale of the Additional Preferred Stock, as provided herein.
Initial Closing Date shall have the meaning assigned to such term in Section 1.2 hereof.
Closing Date Acquisition shall have the meaning assigned to such term in the recitals hereto.
Scheduled Closing Date Has the meaning specified in the NPA.
Post Closing Letter is that certain Post Closing Letter dated as of the Effective Date by and between Collateral Agent and Borrower.
Put Closing Date shall have the meaning set forth in Section 2.3.8.
Closing Date Term Loan has the meaning specified in Section 2.01(a).
Closing Date Acquisition Agreement shall have the meaning assigned to such term in the recitals hereto.
Offer Closing Date has the meaning set forth in Section 1.01(f).
Final Closing Date means closing date of the Offering after which the Company ceases to offer for sale the Units.
Third Amendment Closing Date the date on which all the conditions precedent set forth in Section 3 of the Third Amendment shall be satisfied or waived.
Applicable Closing Date Has the meaning specified in Section 5.01(b) of this Trust Supplement.
Original Closing Date means September 24, 2007, the date of the initial extension of credit under the Original Credit Agreement.
