Revolver Notice of Borrowing definition

Revolver Notice of Borrowing means a notice in the form of Exhibit B to be delivered to the Agent pursuant to Section 2.1.(b) evidencing the Borrower’s request for a borrowing of Revolving Loans.

  • Each Revolver Notice of Borrowing shall specify the aggregate principal amount of the Revolving Loans to be borrowed, the date such Revolving Loans are to be borrowed (which must be a Business Day), the use of the proceeds of such Revolving Loans, the Type of the requested Revolving Loans, and if such Revolving Loans are to be LIBOR Loans, the initial Interest Period for such Revolving Loans.

  • Any telephonic notice shall include all information to be specified in a written Revolver Notice of Borrowing and shall be promptly confirmed in writing by the Borrower pursuant to a Revolver Notice of Borrowing sent to the Agent by telecopy on the same day of the giving of such telephonic notice.

  • If the Borrower fails to indicate the Type of Revolving Loans being borrowed in a Revolver Notice of Borrowing, then the Borrower shall be deemed to have requested a borrowing of LIBOR Loans having an Interest Period of one month.

  • Promptly after receipt of a Revolver Notice of Borrowing under subsection (b) of this Section, the Agent shall notify each Revolving Lender of the proposed borrowing.

  • Each Revolver Notice of Borrowing or any telephonic notice of a borrowing shall be irrevocable once given and binding on the Borrower.

  • Not later than 10:00 a.m. at least (i) one (1) Business Day prior to a borrowing of Revolving Loans that are to be Base Rate Loans and (ii) at least three (3) Business Days prior to a borrowing of Revolving Loans that are to be LIBOR Loans, the Borrower shall deliver to the Agent a Revolver Notice of Borrowing or telephonic notice thereof.
