Revenue Payment definition

Revenue Payment means a payment in discharge of revenue expenditure and is, therefore, a payment other than a capital payment or an extraordinary payment;
Revenue Payment means for each Calendar Quarter occurring (in whole or in part) during the Revenue Payment Term, an amount payable to the Buyer equal to the product of (a) Net Sales during such Calendar Quarter (or, for any Calendar Quarter occurring in part during the Revenue Payment Term, Net Sales for the calendar days falling within the Revenue Payment Term during such Calendar Quarter) and (b) the Revenue Percentage.
Revenue Payment has the meaning set forth in Section 4.2(a). “Revenue Payment Amount” has the meaning set forth in Section 4.2.1.

  • Any such independent public accounting firm shall not disclose to the Buyer the confidential information of the Seller or any of its Affiliates or their respective Licensees, except to the extent such disclosure is either necessary to determine the correctness of a Revenue Payment or otherwise would be provided pursuant this Agreement, including in a Quarterly Report or Revenue Report.

  • A late fee of the lesser of (a) [***] over the Prime Rate and (b) the highest rate permitted under applicable law shall accrue on all unpaid amounts with respect to any payment owed to either party hereunder, including the Initial Purchase Price, the Additional Purchase Price or any Revenue Payment, from the date such obligation was due until the date payment is made.

Revenue Payment and “Revenue Payments,” as used herein, mean the prescribed-herein periodic payments to Seller, calculated as a percentage of Third-Party Revenue and/or as a percentage of Direct Revenue, as the case may be.
