Retail Net Sales definition

Retail Net Sales means, for each of the ten and fifteen count SKUs of the Product: (i) the number of units of such SKU of the Product shipped from Retail Pharmacies to patients based on prescriptions written by the Specialty in the Territory (as determined by data reported by data aggregator) or such other data source with which Dova enters into an agreement at its cost), MULTIPLIED BY (ii) the applicable WAC for such SKU of the Product for the applicable period, MULTIPLIED BY (iii) the Gross to Net Fraction for such SKU of the Product for the applicable period.
Retail Net Sales means the gross sales price for all WR Products sold by or on behalf of WRS or any of its Affiliates direct to end-users at ▇▇▇▇▇▇▇ ▇▇▇▇® branded retail stores or Internet websites owned and operated by WRS or its Affiliates, less actual deductions taken and incurred, including, but not limited to, (i) actual returns and (ii) actual discounts and allowances, including, but not limited to, season ending allowances, vendor retagging and/or ▇▇▇▇-▇▇▇▇▇. In computing Retail Net Sales, no costs incurred in manufacturing, selling, advertising or distributing the WR Products and no indirect expenses shall be deducted.

  • WRS shall pay to TWR the WRS Royalty on all Wholesale Net Sales, Retail Net Sales and Sublicense Gross Consideration made, accrued and/or earned during the Royalty Term; provided that the WRS Royalty shall be due only on amounts actually collected by WRS.
