Restricted Geographic Area definition

Restricted Geographic Area is defined as all countries, territories, parishes, municipalities and states in which Company is doing business or is selling its products at the time of termination of Employee’s employment with Company, including but not limited to every parish and municipality in the state of Louisiana. Employee acknowledges that this geographic scope is reasonable given Employee's position with Company, the international scope of Company's business; and the fact that Employee could compete with Company from anywhere Company does business.
Restricted Geographic Area means and includes: (w) Vanderburgh County, Indiana; (x) all counties contiguous to Vanderburgh County; (y) any county in which the Company or any of its subsidiaries has an office or branch location; and (z) all counties contiguous to the counties referred to in subpart (y) above. For purposes of this Agreement, the term "Competitive Business" means any business that is traditionally engaged in by a bank, a bank holding company or a financial holding company, or that provides products and services similar to and competitive with the products and services provided by the Company or any of its subsidiaries. Notwithstanding the foregoing, Executive may make and retain investments in less than one percent of the equity of any entity engaged in a Competitive Business, if such equity is listed on a national securities exchange or regularly traded in an over-the-counter market.
Restricted Geographic Area means and includes the following counties in Texas: Hidalgo, Starr, Cameron & Willacy. For purposes of this Agreement, the termCompetitive Business” means any business that is traditionally engaged in by a bank, a bank holding company or a financial holding company, or that provides products and services similar to and competitive with the products and services provided by the Company or any of its subsidiaries or affiliates. Notwithstanding the foregoing, Employee may make and retain investments equal to less than one percent of the equity of any entity engaged in a Competitive Business, if such equity is listed on a national securities exchange or regularly traded in a nationally-recognized over-the-counter market.

Examples of Restricted Geographic Area in a sentence

  • During Employee’s employment with the Company and during the Noncompete Restrictive Period, Employee will not, in the Restricted Geographic Area, engage in any Competitive Business.

  • Employee will not, directly or indirectly, (i) provide, sell, or market; (ii) assist in the provision, selling or marketing of; or (iii) attempt to provide, sell or market any Competing Products to any of Company’s Customers or Active Prospects located in the Restricted Geographic Area.

  • During the Restricted Period and within the Restricted Geographic Area, Executive will not, directly or Indirectly, perform the same or similar responsibilities Executive performed for the Company for a Competitor in connection with a Competitive Product or Service.

  • Grantee agrees that during the Restricted Period (defined below) and within the Restricted Geographic Area (defined below), Grantee will not, directly or indirectly, perform or engage in Competitive Product or Services (defined below) with a Competitor (defined below).

  • Optionee agrees that during the Restricted Period (defined below) and within the Restricted Geographic Area (defined below), Optionee will not, directly or indirectly, perform the same or similar responsibilities Optionee performed for the Company in connection with a Competitive Product or Service (defined below).


More Definitions of Restricted Geographic Area

Restricted Geographic Area means the territory in which, during the twenty-four (24) months prior to the Last Day, Participant: (a) provided services on behalf of the Company and/or any of its Subsidiaries (or in which Participant supervised the servicing activities), and/or (b) solicited Customers or otherwise sold products or services on behalf of the Company (or in which Participant supervised the solicitation or servicing activities related to such Customers).
Restricted Geographic Area means (i) each and every State of the United States of America in which the Company is manufacturing or selling any of its products or services at the time Executive's employment ends; and (ii) each and every country in which the Company is manufacturing or selling any of its products and services at the time Executive's employment ends. However, if the Competitor has separate divisions, business units or segments, some of which are not competitive with the business of the Company, nothing herein shall prohibit Executive from being employed by or working for only that segment of the business that is not competitive with the business of the Company, provided Executive's work does not involve any products or services that compete with the Company's products and services;
Restricted Geographic Area means the territory (i.e.: (i) state(s), (ii) county(ies), or (iii) city(ies)) in which, during the twenty-four (24) months prior to the Last Day, Grantee provided material services on behalf of the Company (or in which Grantee supervised directly, indirectly, in whole or in part, the servicing activities). (vii) “Restricted Period” means the period of Grantee’s employment with the Company and a period of twelve (12) months after the Last Day. Grantee recognizes that the durational term is reasonably and narrowly tailored to the Company’s legitimate business interest and need for protection with each position. G.
Restricted Geographic Area means the territory (i.e.: (i) state(s), (ii) county(ies), or (iii) city(ies)) in which, during the twenty-four (24) months prior to the Last Day, Executive: (a) provided Material services on behalf of the Company (or in which Executive supervised, directly or Indirectly, the servicing activities), and/or (b) solicited Customers or otherwise sold services on behalf of the Company (or in which Executive supervised, directly or Indirectly, the solicitation or servicing activities related to such Customers). “Material” means the Executive’s primary job duties and responsibilities in connection with working with Customers or directly supervising individuals who work with Customers.
Restricted Geographic Area means and includes: (w) the Wisconsin counties of Manitowoc, Sheboygan, Xxxxx, Calumet, Kewaunee, Door, Fond du Lac, Outagamie, Winnebago, Milwaukee and Ozaukee. For purposes of this Agreement, the termCompetitive Business” means that portion of any business that provides products and services similar to and competitive with the products and services provided by the Company.
Restricted Geographic Area means India, and each country the Group is doing business in as of the Termination Date.
Restricted Geographic Area means and includes: (A) each and every state of the United States of America; (B) Canada; and (C) each and every country in which the Company (or any of its subsidiaries or affiliates) is doing business at any time during the Term or as of the termination of Executive's employment; and (D) each and every country in which the Company (or any of its subsidiaries or affiliates) is selling or distributing its products at any time during the Term or as of the termination of Executive's employment. For purposes of this Agreement, the term “Competitive Business” means: a business that develops, produces, sells and/or provides any Competing Products/Services and is competitive with the business of the Company. For purposes of this Agreement, the term “Competing Products/Services” means: (I) any products and/or services that are similar to and competitive with the products and/or services that the Company develops, produces, offers or provides at any time during the Term; (II) any products and/or services that are being developed, produced, offered, sold or provided by the Company as of the termination of Executive’s employment with the Company; and/or (III) products and/or services that are competitive with the products and/or services that are being developed, produced, offered, sold or provided by the Company as of termination of Executive’s employment with the Company in that such competitive products and/or services would serve as a substitute for, and would displace or diminish a customer’s need for, any of the Company’s products and/or services.
