Restricted Competition Period definition

Restricted Competition Period means the period of time during any and all Services Period hereunder and for a period of one (1) year thereafter; or for a period of three (3) years after the Effective Date, whichever shall be later to occur; and
Restricted Competition Period means the period ending on the fifth anniversary of the Closing Date.
Restricted Competition Period means the entire period of time during which such information retains its confidential or proprietary nature.

  • Employee agrees and understands that the terms of this Section 7 are necessary to protect legitimate business interests of Company or its affiliates and that (i) the Territory, (ii) the Restricted Competition Period, and (iii) the nature of the restrictions contained in this Section 7 are reasonable in all respects.

  • If at any time the Company elects to discontinue these payments, the Restricted Competition Period shall cease.

Related to Restricted Competition Period

  • Non-Competition Period means the period beginning at the end of the Term and ending one (1) year after the end of the Term.

  • Noncompetition Period has the meaning set forth in Section 9.01.

  • Nonsolicitation Period means the Employment Period and a period ending eighteen months after the Date of Termination;

  • Non-Compete Period means the period commencing on the Effective Date and ending twelve months after the earlier of the expiration of the Employment Period or the Executive’s Date of Termination.

  • Restrictive Period means the period beginning on the Effective Date and ending two (2) years after the termination of the Executive’s employment hereunder.

  • Noncompete Period or "Nonsolicitation Period" means the period beginning the date hereof and ending on the second anniversary of the termination of Employee's employment with Employer.

  • Restricted Employee means any individual who was employed by any member of the Company Group during the course of Employee’s term of employment and with whom Employee had material contact during the twelve (12) month period immediately preceding the date of Employee’s termination.

  • Non-Compete Term means in the case of termination for any reason, the period from the Effective Date to the date ending 2 years following the date of termination.

  • Post-Employment Period shall have the meaning set forth in Article 8.

  • Hire Period means the period commencing when the Customer holds the Hire Goods on hire (including Saturdays Sundays and Bank Holidays) and ending upon the happening of any of the following events:

  • Competition Match means any match played or to be played under the jurisdiction of the Competition.

  • Severance Period means the period of time commencing on the date of the first occurrence of a Change in Control and continuing until the earlier of (i) the second anniversary of the occurrence of the Change in Control and (ii) the Executive’s death.

  • Retention Period has the meaning set forth in Section 6.02.

  • Competitive employment means work in the competitive labor market that is performed on a full-time or part-time basis in an integrated setting and for which an individual is compensated at or above the minimum wage, but not less than the customary wage and level of benefits paid by the employer for the same or similar work performed by individuals who are not disabled.

  • Restricted Activity means directly or indirectly owning any interest in, managing, controlling, participating in, consulting with, rendering services for, or in any manner engaging in any business with any customer, supplier, competitor or other person having a business relation with the Company or any of its subsidiaries; provided however that the term "Restricted Activity" shall not include passive ownership of not more than 2% of the outstanding stock of any class of a corporation which is publicly traded, so long as Executive has no active participation in the business of that corporation.

  • Termination Period means the period of time beginning with a Change in Control and ending on the earlier to occur of:

  • Post-Termination Period means a period of 12 months (subject to extension as set forth in Section 8(f)) following the effective date of the termination of Executive’s employment.

  • Compete means to provide Competitive Services, whether Employee is acting on behalf of himself/herself, or in conjunction with or in concert with any other entity, person, or business, including activities performed while working for or on behalf of a Customer.

  • Covenant not to compete means an agreement:

  • Restricted Geographic Area is defined as all countries, territories, parishes, municipalities and states in which Company is doing business or is selling its products at the time of termination of Employee’s employment with Company, including but not limited to every parish and municipality in the state of Louisiana. Employee acknowledges that this geographic scope is reasonable given Employee's position with Company, the international scope of Company's business; and the fact that Employee could compete with Company from anywhere Company does business.

  • Non-Solicitation Period means a period of 12 months after the termination of Executive’s employment with the Company.

  • Restricted Company means any of the foregoing.

  • Termination Assistance Period means the period commencing upon the expiration or termination of this Agreement and each Statement of Work and expiring six (6) months thereafter, as such period may be extended by the Parties.

  • Affiliation period means a period which, under the terms of the health insurance coverage offered

  • Competition or “Competitions” means any competition comprised within the Event where the winner is awarded a prize. A Competition may be comprised of one or more qualification phase/sections, runs or heats, including official training sessions. In the FIS Rules, Competitions are sometimes also referred to as “races”.

  • Qualifying Time Period means the period defined in Section 2.3.C, during which the Applicant shall make investment on the Land where the Qualified Property is located in the amount required by the Act, the Comptroller’s Rules, and this Agreement.
