Restricted Common Shares definition

Restricted Common Shares means Common Shares awarded under Article 6 of this Plan.
Restricted Common Shares means Common Shares which are, or which upon their issuance on the exercise of this Warrant would be, evidenced by a certificate bearing the restrictive legend set forth in Section 9.1.
Restricted Common Shares means those certain 4,799,848 shares of common stock of Lender, par value $0.001 per share, originally acquired from an affiliate of TRIP and separately identified as such by the Borrower.

Examples of Restricted Common Shares in a sentence

  • If the Restricted Common Shares in respect of which such securities or other property was issued are forfeited to the Company pursuant to Section 2(c) of this Agreement, then such securities or other property shall be immediately forfeited to the Company and automatically transferred to and reacquired by the Company at no cost to the Company, to the same extent and in accordance with Section 2(c) of this Agreement as if such securities or other property were Restricted Common Shares hereunder.

  • All cash distributions on the Restricted Common Shares shall be paid directly to the Trustee and shall not be held in escrow.

  • During the Period of Restriction, the Trustee shall not sell, transfer, pledge, hypothecate, assign, exchange or otherwise dispose of the Restricted Common Shares.

  • Notwithstanding Section 2 of this Agreement, if the Trustee holds Restricted Common Shares at the time a Change in Control (as defined below) occurs, the Period of Restriction with respect to such Restricted Common Shares granted in Section 1 shall automatically lapse immediately prior to the consummation of such Change in Control.

  • If the Trustee makes an election under Section 83(b) of the Internal Revenue Code of 1986 (the “Code”) with respect to the Restricted Common Shares, the grant made pursuant to this Grant shall be conditioned upon the prompt payment to the Company of any applicable withholding obligations or withholding taxes by the Trustee (“Withholding Taxes”).


More Definitions of Restricted Common Shares

Restricted Common Shares means Common Shares which are subject to Restrictions, and any new, additional or different securities a Participant may become entitled to receive with respect to such shares by virtue of a stock split or stock dividend or any other change in corporate or capital structure of U.S. Trust Corporation or the Corporation.
Restricted Common Shares means Common Shares that are, or upon their issuance on the exercise of this Warrant would be, evidenced by a certificate bearing the restrictive legend set forth in Section 9.1(a).
Restricted Common Shares means Class E Common Shares granted to a Participant under Article 6 that are subject to certain restrictions and to risk of forfeiture.
Restricted Common Shares means Common Shares awarded or purchased under the Plan pursuant to a Restricted Common Share Agreement.
Restricted Common Shares means the one (1) share of the restricted common stock per Unit of the Company, representing part of the Securities being purchased pursuant to the terms of this Agreement.
Restricted Common Shares means the restricted common shares authorized for issuance pursuant to that certain CharterMac Amended and Restated Incentive Share Plan, dated as of November 26, 2003, awarded to the Continuing Employees at the Closing in the respective amounts and according to the vesting schedule set forth in Schedule VI attached hereto.
Restricted Common Shares means Common Shares subject to Section 83 Restrictions that have not yet lapsed and that are received by an Employee (1) as a special bonus or other compensation for services rendered to the Participating Employer or (2) because of the Employee's Equity Swap election with respect to an Annual Bonus or an LTIP Award.
