Residual Shares definition

Residual Shares means the Scheme Shares excluding the Cede Shares;
Residual Shares has the meaning set forth in Section 6.3(c)(i).
Residual Shares shall have the meaning specified Section 6.1.

  • If a Selling Investor exercised the Right of Co-Sale in accordance with this Section 4, then such Selling Investor shall deliver to Seller at or before the Co-Sale Closing, one or more certificates, properly endorsed for Transfer, representing the number of Residual Shares to which the Selling Investor is entitled to sell pursuant to this Section 4.
