Residential Funding Corporation. (the "SENIOR LENDER"), and Borrower Name , as the Borrower (the "BORROWER"). Capitalized terms used in this Certification, unless otherwise defined, shall have the meaning given them in the LSA. Residential Funding Corporation. RFC," "General Motors Acceptance Corporation," "General Motors Corporation," "GMAC," "GMAC/RFC," "GM," or "GMAC Mortgage Group," including, without limitation, in any oral or written communications with third parties, advertising, printed material, electronic medium, or other medium, except: (i) to the Existing Investors in order to obtain their consent to the transactions contemplated by this Agreement, the Debenture, and the other Convertible Debt Documents and Transaction Documents; (ii) to the Borrower's officers, directors, employees, attorneys and accountants; (iii) in connection with the enforcement of rights hereunder and under the other Convertible Debt Documents and Transaction Documents or otherwise in connection with applicable litigation; and (iv) where required, the size and maturity of the warehouse credit facilities provided to the Borrower under the Warehouse Credit and Term Loan Agreement and the identity of the Lender as a provider of warehouse financing thereunder, may be disclosed (A) to third parties on applications to be approved as a seller of whole loans to such third parties and on reference checks related thereto and (B) to any regulatory authority having jurisdiction over the Borrower under applicable law, rule, regulation, or judicial process.
