Requirement Date definition

Requirement Date means the date that these Requirements come into effect.
Requirement Date has the meaning set forth in Section 6B hereof.

  • Borrower shall, no later than the Backup Servicer Requirement Date, contractually engage a third party to act as the liquidation agent for the Lenders following an Event of Default, which engagement shall be on terms reasonably acceptable to Lenders.

  • The Quarterly Excess Leverage Fee payable on any Certificate Requirement Date shall be the amount specified in SCHEDULE 2A for Level I, Level II, Level III or Level IV (as applicable pursuant to SCHEDULE 2A) which is shown in the chief financial officer's certificate delivered pursuant to Section 2.13(b) in respect of the calendar quarter to which such Certificate Requirement Date applies (or, if no such certificate is delivered, the amount specified for Level IV).

  • At least ten (10) days prior to the Cap Requirement Date, the Borrowers shall provide a form of Interest Rate Cap (or summary or bid package containing all of the terms of the Interest Rate Cap) for Agent’s review and Approval.

  • Normal Requirement Date" means the first day of the month coincident with or next following the attainment of Normal Retirement Age.

  • The Agent shall promptly distribute such Quarterly Excess Leverage Fee to the Banks ratably according to their respective Commitments on such Certificate Requirement Date.

  • Opening Date means the day on which we first authorize the opening of the facilities, Guest Rooms or services of the Hotel to the general public under the Brand.

  • Origination Date means, with respect to each Mortgage Loan, the date of the Mortgage Note relating to such Mortgage Loan, unless such information is not provided by the Borrower with respect to such Mortgage Loan, in which case the Origination Date shall be deemed to be the date that is 40 days prior to the date of the first payment under the Mortgage Note relating to such Mortgage Loan.

  • LCA Test Date has the meaning assigned to such term in Section 1.06.

  • FILOT Act Minimum Investment Requirement means, with respect to the Project, an investment of at least $2,500,000 by the Company, or of at least $5,000,000 by the Company and any Sponsor Affiliates in the aggregate, in Economic Development Property.

  • Request Date means each Comfort Letter Request Date, each Officer’s Certificate Request Date and each Opinion Request Date.

  • Replacement Date has the meaning set forth in Section 2.08(b).

  • Payment Condition at any time of determination with respect to any Specified Transaction, that the following conditions are all satisfied: (x) (1) 30-Day Specified Excess Availability (divided by Availability as of such time of determination and expressed as a percentage) and (2) the Specified Availability on the date of such Specified Transaction (divided by Availability as of such time of determination and expressed as a percentage), in each case exceed the applicable Availability Percentage (as defined below), (y) unless the Fixed Charge Condition (as defined below) is satisfied (to the extent applicable), the Parent Borrower shall be in Pro Forma Compliance with a minimum Consolidated Fixed Charge Coverage Ratio of at least 1.00:1.00 and (z) if reasonably requested by the Administrative Agent, the Borrower Representative shall have delivered to the Administrative Agent (i) a copy of calculations required by preceding clause (y) in reasonable detail and (ii) a calculation of Specified Unrestricted Cash. As used herein, the following terms shall have the following meanings: (i) “Availability Percentage” shall mean (a) in respect of any Restricted Payment pursuant to Subsection 8.3(k), 12.5%; (b) in respect of (A) any investment or acquisition permitted pursuant to clause (u) of the definition of “Permitted Investments” or (B) clause (c)(i) of the definition of “Permitted Acquisitions,” 10.0%; (c) in respect of any payment, repurchase or redemption pursuant to Subsection 8.6(a), 12.5%; (d) in respect of any merger, consolidation, amalgamation or asset sale pursuant to Subsection 8.2(a) or 8.2(b), 10.0%; and (e) in respect of any Asset Sale that would otherwise have to comply with Subsection 8.5, 10.0%; and (ii) “Fixed Charge Condition” shall mean 30-Day Specified Excess Availability (divided by Availability as of such time of determination and expressed as a percentage) exceeds: (a) in respect of any Restricted Payment pursuant to Subsection 8.3(k), 17.5%; (b) in respect of any acquisition permitted pursuant to clause (c)(i) of the definition of “Permitted Acquisitions”, 15.0%; (c) in respect of any investment permitted pursuant to clause (u) of the definition of “Permitted Investments”, 15.0%; (d) in respect of any payment, repurchase or redemption pursuant to Subsection 8.6(a), 15.0%; and (e) in respect of (A) any merger, consolidation, amalgamation or asset sale pursuant to Subsection 8.2(a) or 8.2(b) or (B) any Asset Sale that would otherwise have to comply with Subsection 8.5, 15.0%.

  • Current Date means any day during the 20-day period ending on the date of the Closing.

  • Reporting Requirement By January 31, 2017, the District will provide for OCR’s review and approval the Web Accessibility Policy drafted consistent with Item 1.

  • Service Date or "SD" means the date service is made available to the End User Customer. This also is referred to as the "Due Date."

  • Required Date means the date given a Registered Entity in a notice from the Compliance Enforcement Authority by which some action by the Registered Entity is required.
