Required Upgrade definition

Required Upgrade means any System expansion, upgrade, retrofitting, or other modification that is, in the opinion of Service Provider, necessary (a) to avoid or mitigate imminent damage to the System, (b) to preserve System integrity, (c) to avoid a violation or potential violation of any applicable Law, or (d) for Service Provider to comply with the Reasonable and Prudent Service Provider standard.
Required Upgrade means any capital project relating to the System or related material assets of the Business that is necessary: (a) in order for the System or such related assets of the Business to comply with applicable Law or (b) in order for the Company to fulfill its required obligations under any Material Transportation Contract.
Required Upgrade is defined in the Operating Agreement.

More Definitions of Required Upgrade

Required Upgrade means any Asset upgrade, modification, expansion or other similar improvement that is necessary: (a) in order for the Assets to comply with applicable Laws or (b) in order for the Company or any of its Subsidiaries to fulfill its required obligations under any material Contract, in each case, excluding routine maintenance items and similar minor improvements covered in any Direct Xxxx Budget.
Required Upgrade means (a) with respect to all portions of the Facility except for the Joint Pipeline, any capital or expense project, including repairs, replacements, upgrades and other actions, relating to the Facility or related assets of the Business that is necessary (i) in order for the Facility or such related assets of the Business to comply with applicable Law or (ii) in order for the Company to fulfill its required obligations under any material transportation agreement and (b) with respect to the Joint Pipeline, the definition of “Required Upgrade” set forth in the JOA.
Required Upgrade mean any Upgrade made under Section 13.03.
Required Upgrade means any modification or improvement to the Renewable Diesel Facility that (i) is necessary for the then existing Renewable Diesel Facility to comply with (a) applicable Law, or (b) Operator’s HSE Policy, or Owner’s HSE policy, and (ii) does not constitute a voluntary expansion or enhancement of the Renewable Diesel Facility through an Approved Capital Project.
Required Upgrade means any capital project relating to the Terminals or related material assets of the Business that is necessary: (a) in order for the Terminals or such related assets of the Business to comply with applicable Law or (b) in order for the Company to continue its Business and keep the Terminals operational; provided, however, that for the avoidance of doubt, a Required Upgrade shall not include any upgrades or improvements made simply for increasing efficiency. “Sec. 705(a)(2)(B) Expenditure” means any expenditure of the Company described in Code Sec. 705(a)(2)(B) and any expenditure considered to be an expenditure described in Code Sec. 705(a)(2)(B) pursuant to Code Sec. 704(b) and the Regulations thereunder.
Required Upgrade mean any Upgrade made under Section XIII.3.

Related to Required Upgrade

  • Software Upgrade means a release of Software, in object code form, or firmware, which adds new functionality and feature enhancements to the Software or Equipment.

  • Stand Alone System Upgrade Facilities means System Upgrade Facilities that a Developer may construct without affecting day-to-day operations of the New York State Transmission System during their construction. System Deliverability Upgrades shall mean the least costly configuration of commercially available components of electrical equipment that can be used, consistent with Good Utility Practice and Applicable Reliability Requirements, to make the modifications or additions to Byways and Highways and Other Interfaces on the existing New York State Transmission System and Distribution System that are required for the proposed project to connect reliably to the system in a manner that meets the NYISO Deliverability Interconnection Standard at the requested level of Capacity Resource Interconnection Service. System Protection Facilities shall mean the equipment, including necessary protection signal communications equipment, required to (1) protect the New York State Transmission System from faults or other electrical disturbances occurring at the Large Generating Facility and (2) protect the Large Generating Facility from faults or other electrical system disturbances occurring on the New York State Transmission System or on other delivery systems or other generating systems to which the New York State Transmission System is directly connected. System Upgrade Facilities shall mean the least costly configuration of commercially available components of electrical equipment that can be used, consistent with Good Utility Practice and Applicable Reliability Requirements, to make the modifications to the existing transmission system that are required to maintain system reliability due to: (i) changes in the system, including such changes as load growth and changes in load pattern, to be addressed in the form of generic generation or transmission projects; and (ii) proposed interconnections. In the case of proposed interconnection projects, System Upgrade Facilities are the modifications or additions to the existing New York State Transmission System that are required for the proposed project to connect reliably to the system in a manner that meets the NYISO Minimum Interconnection Standard. Tariff shall mean the NYISO Open Access Transmission Tariff (“OATT”), as filed with the Commission, and as amended or supplemented from time to time, or any successor tariff. Trial Operation shall mean the period during which Developer is engaged in on-site test operations and commissioning of the Large Generating Facility prior to Commercial Operation.

  • Upgrade means a major version upgrade of any Platform software.
