Required Return definition

Required Return means that amount which is required to deliver to the Developer an IRR of not less than twenty per cent. on the equity cashflow for the Development (including all equity injections, equity returns, profits to equity providers and risk premia) an example calculation of which is contained in the appraisal annexed at [Annexure [⚫]]
Required Return means the product of the "Required Rate of Return" times the "Purchase Price". In no case shall the "Required Return" exceed "PNW Acquisition Revenue".
Required Return means (x) with respect to all Loans (other than the First Amendment Loan (as defined in the First Amendment)), 1.20:1.00 and (y) with respect to the First Amendment Loan, 1.30:1.00.

Required Return means (i) if such calculation date is on or prior to the first anniversary of the date hereof, an amount in cash per Class A Convertible Preferred Unit equal to (A) 110% of the Class A Convertible Preferred Unit Original Issue Price minus (B) the aggregate amount of distributions paid in cash with respect to such Class A Convertible Preferred Unit, if any, up to and including such calculation date, (ii) if such calculation date is following the first anniversary of the date hereof but on or prior to the second anniversary of the date hereof, an amount in cash per Class A Convertible Preferred Unit equal to (A) 125% of the Class A Convertible Preferred Unit Original Issue Price minus (B) the aggregate amount of distributions paid in cash with respect to such Class A Convertible Preferred Unit, if any, up to and including such calculation date, and (iii) if the calculation date is following the second anniversary of the date hereof but on or prior to the Maturity Date, an amount in cash per Class A Convertible Preferred Unit equal to (A) 150% of the Class A Convertible Preferred Unit Original Issue Price minus (B) the aggregate amount of distributions paid in cash with respect to such Class A Convertible Preferred Unit, if any, up to and including such calculation date.
Required Return means Cost of Capital or C*.
Required Return with respect to any Stockholder means an amount equal to (i) such Stockholder’s Cost, plus (ii) a return on such Stockholder’s Cost at a rate of 15% (on a pre-tax basis) compounded annually from (a) the date on which the Subscription Agreement was executed (in the case of Company Equity Securities owned by such Stockholder as of the Initial Closing), or (b) the date that such Stockholder purchased the Company Equity Securities with respect to which such Required Return is being calculated (in the case of Company Equity Securities acquired after the Initial Closing).
