Representations and Warranties Concerning the Transaction. (a) Representations and Warranties of HarnCo and Sellers. HarnCo and Sellers jointly and severally represent and warrant to Investor that the statements contained in this Section 3(a) are true and correct as of the date of this Agreement and will be true and correct as of the Closing Date (or the dates specified in such statements), except (1) as set forth in the disclosure schedule delivered by HarnCo and Sellers to Investor on the date hereof (the "Disclosure Schedule") (as the same may be supplemented in accordance with Sections 5(g) and 5(q) below) and (2) as may be affected by the transactions contemplated by this Agreement. The Disclosure Schedule will be arranged in paragraphs corresponding to the lettered and numbered paragraphs contained in this Section 3(a) and Sections 3(b) and 4.
