Examples of Replacement Revolving Lender in a sentence
If on or before June 30, 2009 (a) each of the events specified in clauses (i), (ii) and (iii) of Section 2.1(b) of this Agreement have not been satisfied to the satisfaction of ORIX, and (b) ORIX and the Replacement Revolving Lender have not entered into and delivered an intercreditor agreement, in form and substance satisfactory to ORIX, Borrower shall pay to ORIX, for the account of ORIX, a fee in the amount of $30,000 (the “Revolving Loan Fee”).
To the extent required by the Credit Agreement, each of the Administrative Borrower and the Agent hereby consent to each Replacement Term A Lender and/or Replacement Revolving Lender that is not a Lender as of the date hereof becoming a Lender under the Credit Agreement.
Any Replacement Revolving Credit Commitment (and the Loans made thereunder) made by a Replacement Revolving Lender pursuant to a Replacement Revolving Credit Amendment shall be deemed a “Revolving Credit Commitment” and “Revolving Loan,” as applicable, for all purposes of this Agreement and each Lender with a Replacement Revolving Loan shall become a Lender with respect to such Replacement Revolving Loans and all matters relating thereto.
If the scheduled Revolving Commitment Termination Date shall have been extended in respect of Consenting Revolving Lenders and any Replacement Revolving Lender in accordance with Section 2.13(a), all references herein to the "Revolving Commitment Termination Date" shall refer to the Revolving Commitment Termination Date as so extended.
The Borrower shall have the right during the period following the earlier of (i) the end of the Consent Period and (ii) receipt of notice from the Administrative Agent pursuant to clause (b) above, to replace the Withdrawing Revolving Lender with an existing Revolving Lender or a new Revolving Lender who consents to the extension of the Revolving Commitment Termination Date (a "Replacement Revolving Lender").
