Replacement Hedging Agreement definition

Replacement Hedging Agreement means one or more Hedging Agreements, which in combination with all other Hedging Agreements then in effect, after giving effect to any planned cancellations of any presently outstanding Hedging Agreements satisfy the Borrower’s covenant contained in Section 10.6, of this Agreement to maintain Hedging Agreements.

Replacement Hedging Agreement means, with respect to Borrower, any agreement entered into to protect such Person against fluctuations in interest rates, or currency or raw materials values, including without limitation, any interest rate swap, cap or collar agreement or similar arrangement between such Person and one or more Acceptable Counterparties (in form and substance reasonably satisfactory to Administrative Agent), any foreign currency exchange agreement, currency protection agreements, commodity purchase or option agreements or other interest or exchange rate hedging agreements, and on the then current standard ISDA form for such product.

  • Unless an alternative arrangement pursuant to clause (x) or (y)(i) or (y)(iii) of Section 10.6(c) is being established, the Borrower shall use its best efforts to obtain a Replacement Hedging Agreement or Qualified Substitute Arrangement meeting the requirements of this Section 10.6 during the 30‑day period referred to in Section 10.6(c) .
