Reorganized Neiman definition

Reorganized Neiman means either: (a) NMG LTD, as reorganized pursuant to and under the Plan, or any successor or assign thereto, by merger, amalgamation, consolidation, or otherwise, on or after the Effective Date; or (b) to the extent agreed reasonably by the Debtors, the Required Consenting Term Loan Lenders, the Consenting Parent (such consent not to be unreasonably withheld, conditioned, or delayed), the Consenting Sponsors, and the Required Consenting Noteholders, (x) Mariposa Intermediate, as reorganized pursuant to and under the Plan, or any successor or assign thereto, by merger, amalgamation, consolidation or otherwise, on or after the Effective Date or (y) a new corporation or limited liability company that may be formed to, among other things, directly or indirectly acquire substantially all of the assets and/or stock of the Debtors and issue the New Equity to be distributed pursuant to the Plan.

Examples of Reorganized Neiman in a sentence

  • On the Effective Date, upon cancellation of the Existing Equity Interests, Reorganized Neiman shall issue the New Equity directly or indirectly to Holders of Claims to the extent provided in the Plan.

  • To the extent provided in the Description of Transaction Steps, each Debtor, other than Reorganized Neiman, may be deemed dissolved in accordance with applicable law, without any further notice to or action, order, or approval of the Bankruptcy Court or any other Entity.

  • Reorganized Company means the Company, as reorganized pursuant to and under the Plan, on and after the Effective Date, or any successor or assign thereof.

  • Public Company means any Person with a class or series of Voting Stock that is traded on a stock exchange or in the over-the-counter market.

A sale (or multiple related sales) of one or more subsidiaries of the Corporation (whether by way of merger, consolidation, reorganization or sale of all or substantially all assets or securities) which constitutes all or substantially all of the consolidated assets of the Corporation shall be deemed a Sale of the Corporation.
