Reorganized Company Party definition

Reorganized Company Party means, on or after the Effective Date,
Reorganized Company Party means a Company Party, or any successor or assign thereto, by merger, reorganization, consolidation, or otherwise, in the form of a corporation, limited liability company, partnership, or other form, as the case may be, on and after the Effective Date.

  • Reorganized Company means the Company, as reorganized pursuant to and under the Plan, on and after the Effective Date, or any successor or assign thereof.

  • Reorganized Debtor means a Debtor, or any successor or assign thereto, by merger, consolidation, reorganization, or otherwise, in the form of a corporation, limited liability company, partnership, or other form, as the case may be, on and after the Effective Date.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Reorganized Debtors means the Debtors on and after the Effective Date.

  • Reorganized means, with respect to the Debtors, any Debtor or any successor thereto, by merger, consolidation or otherwise, on or after the Effective Date.

  • Newco has the meaning set forth in the first paragraph of this Agreement.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Company Subsidiary means a Subsidiary of the Company.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Company Group Member means Company or any Company Affiliate;

  • CEC means the California Energy Commission or its successor agency.

  • Participating Company Group means, at any point in time, all corporations collectively which are then Participating Companies.

  • Surviving Company has the meaning set forth in Section 2.1.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • LEC means any Carrier that is engaged in the provision of telephone Exchange Service or Exchange Access. Such term does not include a Carrier insofar as such Carrier is engaged in the provision of a commercial mobile service under Section 332(c) of the Act, except to the extent that the FCC finds that such service should be included in the definition of such term.

  • Partnership Group Member means any member of the Partnership Group.

  • Company Party means any one of them.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Participating Companies means any insurance company (including Insurance Company) that offers variable annuity and/or variable life insurance contracts to the public and that has entered into an agreement with one or more of the Funds.

  • CCO means the Global Chief Compliance Officer of SSgA.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • EBS means Electronic Bid Submission.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Converted entity means the converting entity as it continues in existence after a conversion.

  • ITC (this Section2 of the RFP) means the Instructions to Consultants that provides the Consultants with all information needed to prepare their Proposals.
