Renvoi definition

Renvoi is French and literally means “to send back” or “to return unopened”. It describes a particular scenario where a national court does not accept jurisdiction over a case and sends it back to where it came from. In the first alternative, the parties to an IBT may have a valid choice of law in favor of a particular national legal system, say “French law”. However, the French court approached by one of the parties as the defendant court applies not only its substantive contract law but also the French rules on conflict of laws or private international law. And the latter might provide, for a case like the one at hand, that the applicable law should be seller’s law and any disputes should be decided in seller’s courts. If the seller is in the U.S. and the French court does not want the case, it can “renvoi” the case based on the argument that the choice of French law was also a choice of French conflict rules. However, the American court may then find that it does not have jurisdiction because the parties have, after all, chosen French law and, according to American conflict rules, the case needs to be brought in defendant, i.e. French courts.
