If Customer fails to send K12 written notice that it intends to terminate the Subscription Order more than thirty (30) days prior to the expiration of the current Order Term for this Subscription Order (a/k/a the then current Subscription Period), Customer will be deemed to have accepted the monthly fees for the Subscription for the Renewal Order Term for this Subscription Order (a/k/a the Renewal Subscription Period).
After the end of the Initial Subscription Period, and after any Renewal Subscription Period thereafter, NetBrain may increase the Subscription Fee for subsequent Renewal Subscription Periods by providing Customer with no less than sixty (60) days notice before the expiration date of the Initial Subscription Period or the then- current Renewal Subscription Period.
The subscription shall automatically renew for successive periods equal to that of the Initial Subscription Period (each a “Renewal Subscription Period”) unless otherwise terminated by either party, upon written notice to the other party, at least thirty (30) days prior to the expiration date of the Initial Subscription Period or the then-current Renewal Subscription Period.
Signify reserves the right to invoice and require the Customer to pay any Service Fee(s) prior to the commencement of a Renewal Subscription Period, if any.
If the Subscription Period is renewed, the terms and conditions of the Agreement and the Order will be the same as the terms and conditions in effect immediately prior to such renewal; provided, however, all fees for each Renewal Subscription Period shall be at Vendor’s then current pricing.
Unless otherwise expressly set forth in the applicable Order, fees associated with any Software Service may increase at the commencement of any Renewal Subscription Period.
This may result in a temporary suspension of Your Subscription as well as in a change to the start date of Your Renewal Subscription Period.
You will be charged no more than 24 hours prior to the start date of Your Renewal Subscription Period.
Your Renewal Subscription Period shall bear the same length of Your Initial Subscription Period and shall continue for additional, successive renewed periods until Your Subscription is cancelled (see Section 5.12 below).
The Term is comprised of the Initial Subscription Period and two Renewal Subscription Periods, subject to Customer placing a renewal Order(s) prior to the beginning of each Renewal Subscription Period.
