Remaining Settlement Liability definition

Remaining Settlement Liability means, on any date, the difference between the Settlement Amount (as set forth in the Settlement Agreement) and the gross proceeds received as of that date by an Investor from the sale of Common Shares originally acquired by an Investor pursuant to the November 2006 Financing, the February 2007 Financing, or the February 2007 Wavier.

  • In the event of a default by SpatiaLight pursuant to this Agreement or the Escrow Agreement, or the termination of the Escrow Agreement at any time while the Remaining Settlement Liability is greater than zero, the Investor shall be entitled to liquidated damages in an amount equal to the Remaining Settlement Liability.

  • Gross Settlement Amount means Two Hundred Forty Thousand Dollars and Zero Cents ($240,000.00) which is the total amount Defendant agrees to pay under the Settlement. The Gross Settlement Amount will be used to pay Individual Settlement Payments, Individual PAGA Payments, the LWDA PAGA Payment, Class Counsel Fees Payment, Class Counsel Litigation Expenses Payment, Class Representative Service Payment, and the Administration Expenses.

  • Maximum Settlement Amount means $500,000,000 as amended or modified in accordance with Appendix E.

With respect to a liability that relates to more than one asset, the amount of such Related Liability shall be allocated among such assets for the purpose of determining the Related Liability Amount with respect to any one of such assets. Such allocation shall be made by specific allocation, where determinable, and otherwise shall be pro rata based upon the dollar amount of such assets stated on the Accounting Records of the entity that owns such asset.

  • Gross Settlement Fund means the Settlement Amount plus all interest earned thereon.

  • Professional Fee Escrow Amount means the aggregate amount of Professional Fee Claims and other unpaid fees and expenses Professionals estimate they have incurred or will incur in rendering services to the Debtors prior to and as of the Confirmation Date, which estimates Professionals shall deliver to the Debtors as set forth in Article II.C hereof.
